In addition to founding and serving as Executive Chairman of Real Time Medical Systems, Scott was founder and managing partner of Mid-Atlantic Health Care, LLC (MAHC) from 2003- 2017. MAHC owned and operated 21 skilled nursing centers (4000 beds) in Maryland and Pennsylvania.  MAHC was a national leader in developing risk based care models. The company had revenues of approximately $400 million annually and was sold at 200% of acquisition cost in 2017. Scott is also Founder and Chairman of the Board of Provider Partners Health Plan, Inc. (PPHP).  PPHP creates and operates Advantage plans known as Institutional Special Needs Plans (ISNPs) in Maryland and PA; and Five Star Physician Services, LLC which provides high quality medical providers to post-acute and long-term care facilities. Scott was Ernst and Young Entrepreneur of the Year (Mid-Atlantic Region) in 2017. Scott is a graduate of the University of Maryland Baltimore County (UMBC) and George Washington University School of Medicine. Thomas P. Dickerson Tom, the Vice Chairman and Secretary of Real Time, began his career in 1974 as a corporate attorney with Coudert Brothers, a New York law firm. In 1981 he became a health care investment banker, first at Lehman Brothers from 1980 to 1985, and then at E.F. Hutton where he was named co-head of the health care investment banking group in 1986.  In 1988, Mr. Dickerson joined Tullis-Dickerson & Co., Inc., a Greenwich, CT – based health care venture capital firm, and from 1990 until 2009 served as Chairman. The firm managed in excess of $350 million, investing in over 50 portfolio companies in all sectors of the health care industry. Tom is a member of the Board of Directors of Five Star Physician Services, a post-acute and long-term care medical practice and management company, and Provider Partners Health Plan, Inc., a Medicare Advantage HMO plan for long-term care residents. 1/4

  2. 10/4/2019 Board of Directors | RTMS From 2008 to 2014, Tom was the chairman of United World College-USA, an international secondary school based in New Mexico, as well as a director of United World Colleges International from 2011 – 2014.  Tom earned his B.A. cum laude in economics from Harvard College in 1971, his J.D. from Harvard Law School in 1974, and his M.B.A. from Harvard Business School in 1979.  Gary Duty Gary is a healthcare industry executive with over 30 years of experience in the institutional pharmacy industry and healthcare IT. Gary co-founded HPS, a closed door institutional pharmacy in 1988. He grew the business to one of the most successful pharmacy businesses in Pennsylvania and sold to Gatti LTC Services in 1990. Gary served as COO for Gatti and was instrumental in the success of Gatti as it grew to service over 25,000 beds in Pennsylvania and contiguous states. Gatti was sold to American Medserve in 1996, went public in 1997 and was acquired by Omnicare in 1999. He continued as an Executive Vice President for both companies and again was responsible for substantial growth and retention through several consolidations. Gary co- founded Millennium Pharmacy Systems Inc. in 2000 and served as its President, CEO and director until September 2009. During his tenure he raised over $50M from institutional and private investors. Under his leadership, Millennium made the Inc. 500 fastest growing healthcare companies for 3 consecutive years with revenues growing from $0 to $100M in four years. From 2010-2012 Gary had a consulting practice providing professional services to start-up healthcare IT companies. From 2015-2016 Gary served as CEO of Continua Rx, a closed door institutional pharmacy located in MD. The company was sold in October 2017. Gary previously served on the boards of The Woodland’s Foundation and The Advisory Board of Celtic Healthcare. He currently serves on the board of Real Time Medical Systems. He is a graduate of Temple University School of Pharmacy in 1981. Joan P. Neuscheler Joan has more than 25 years of experience as a healthcare industry executive in operations and financial management, private equity investment, fund raising, and strategic guidance.  Joan also serves as CFO of Five Star Physician Services, LLC, a post-acute and long-term care medical practice and management company and Founder/Partner of Aura Equity Partners, LLC, a healthcare advisory firm. Prior to forming Aura Equity Partners, Joan spent 19 years as a General Partner of multiple healthcare venture capital (VC) funds. Joan also served as President and CFO of the VC management company.  During this time, Joan led multiple investments in over fifteen portfolio companies through various stages of development, including start-ups and mature companies, guiding companies through mergers and acquisitions, public offerings, and business turnarounds.  She also provided operational, financial, and strategic planning advice to achieve successful financings and exits. Joan’s board and investment experience includes: Adams Respiratory Therapeutics, Inc., a specialty pharmaceutical company that developed the Mucinex® brand; Quadramed, Inc., offering software and service solutions for healthcare enterprises; and IntelliClaim, Inc., a company delivering claims performance improvement, regulatory compliance services and IT products to healthcare payers. 2/4

Joan earned a BBA and MBA from Pace University.  Marc N. Zimmet Marc is President and CEO of Zimmet Healthcare Services Group, LLC, a full-service consulting firm specializing in post-acute care reimbursement/compliance, performance analytics, risk-management, strategic planning and transaction advisory.  Marc’s primary field of expertise is skilled nursing.  His broad understanding of the SNF revenue cycle supports his clients as they position for success in an environment of healthcare reform. Mr. Zimmet is also the founder and Managing Member of Z capital, LLC, the firm’s investment vehicle, with current positions companies that provide care management technologies, Medicare Special Needs Plans, outsourced case management and hospice care. Most recently, Marc aligned Zimmet Healthcare with Greystone, a real estate lending, investment and advisory company.   He joined as a Managing Director in Greystone’s healthcare lending group in a dual role, as he continues to lead ZHSG and expand the firm’s consulting solutions. Marc is an active member of many state and national industry associations, and lectures extensively on topics relating to regulatory and market issues shaping post-acute care.  He serves on the Board of Directors of several healthcare provider and ancillary support companies. Marc holds an Accounting degree from Syracuse University and an MBA in Healthcare Administration from the Zicklin School of Business / Mount Sinai School of Medicine. Stuart Shapiro, MD Stuart has enjoyed a successful and diversified career as a businessman and entrepreneur, a top government official, a long- term care executive, and a physician. In both the public and private sectors, he has had extensive experience in executive leadership, public policy development, fund raising, and in media/crisis management. He has been the CEO of publicly traded, privately held, and non-profit companies and organizations. Currently, Stuart is an “Active Strategic Consultant to Businesses and Non-Profits,”, and maintains an extensive medical-legal consulting practice. He recently retired as the President and CEO of the Pennsylvania Health Care Association (PCHA), a statewide advocacy organization representing the elderly and disabled as well as their providers of care. He has been CEO of Prison Health Services, a publicly traded provider of managed healthcare services at prisons and jails across America, and has been President and CEO of the Presidents’ Summit for America’s Future of which Colin Powell served as Chairman, and Presidents George H.   4. 10/4/2019 Board of Directors | RTMS Bush and Bill Clinton were honorary Chairmen.   He also was Sr. Vice President of Nutri/System, Inc. which had over 1800 centers worldwide.   Earlier in his career, he was a banker and a principal in a boutique venture capital firm.  Stuart has a Medical Degree with honors from the State University of New York at Buffalo and a Master’s Degree in Public Health from Harvard University and is Board Certified in Radiology, Nuclear Medicine, and Public Health. He has authored numerous articles on management and healthcare.
