This rule requires entities interested in obtaining Federal Contracts to provide information on their entity's ownership structure. The rule applies to both domestic and foreign entities. Phased implementation approach from June 27th to November 1st.

Background • Federal Acquisition Regulations (FAR): • Commercial and Government Entity Code; FAR Case 2012-024. • This rule uses the unique identification that a CAGE/NCAGE Code provides to identify vendor representation of Immediate Owner and Highest-Level Owner CAGE/NCAGE Codes (If applicable). • Start NOW to collect the required information for your entity. • There will be a requirement to answer questions within the CAGE/NCAGE Code section in the System for Award Management (SAM). • The FAR changes only apply to those domestic and foreign entities interested in obtaining Federal Contracts. • For the final rule amendment see FAR Case 2012-024: http://www.regulations.gov/#!documentDetail;D=FAR-2012-0024-0004

Phased Implementation Approach • Phase I Screening Process – June 27th - October 31st • Questions will appear in SAM on the CAGE/NCAGE Code page. • Vendors will collect Immediate and Highest-Level Owner CAGE/NCAGE Codes. • If you create a new registration, or update your current record, you will be required to • answer the Ownership of Offeror questions on the CAGE/NCAGE page. • Phase II SAM Collection Process – November 1st • This will be a requirement for both foreign and domestic entities. • Vendors will be required to log in to SAM and answer Ownership of Offeror questions. • Vendors will be required to enter Immediate and Highest-Level Owner CAGE/NCAGE • Codes.

  4. Highest-Level Owner Domestic Entities Highest-Level Owner and Immediate Owner must have a CAGE Code even if they have no intention of obtaining Federal Contracts. Foreign Entities Highest-Level Owner and Immediate Owner must have a NCAGE Code even if they have no intention of obtaining Federal Contracts. • Foreign Entities should contact their local NCB (National Codification Bureau) office to apply for an NCAGE Code. • Foreign Entities can find their local NCB information located on page 6 of the pdf file: https://eportal.nspa.nato.int/AC135Public/Docs/US%20Instructions%20for%20NSPA%20NCAGE.pdf • Highest-Level Owner and Immediate Owner will be able to apply for a CAGE Code via the DLA Enterprise Website (Fillable List) in lieu of registering in SAM. This will be available November 1st.

Ownership of Offeror Defined • Entity– In business, an entity is a person, department, team, corporation, cooperative, partnership, or other group with whom it is possible to conduct business. • Offeror –A person or entity who makes a specific proposal to another (the offeree) to enter into a contract (the business or organization registering in SAM). • Immediate Owner –An entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: ownership or interlocking management, identity of the interests among family members, shared facilities and equipment, common use of employees. • Highest-Level Owner –The entity that owns or controls an Immediate Owner of the offeror, or that owns or controls one or more entities that control an Immediate Owner of the offeror. No entity owns or exercises control of the Highest-Level Owner. • Fillable List–Highest-Level Owner and or Immediate Owner that will not be performing on Federal Contracts must obtain a CAGE code via the Fillable List that will be available November 1st on the DLA Enterprise Website. There will be only one Highest-Level Owner. Example

  6. Phase I - Screening Questions 999999999 Question 2 will be enabled if vendor selects “Yes” for Question 1.

  7. SAM Collection Process Phase II - SAM Collection ProcessEffective Nov 1st 2014 Scenario 1. Question 1: Does your entity have an Immediate Owner? If YES you will be required to provide the CAGE/NCAGE Code for the Immediate Owner AND question 2 will be enabled. Question 2: Does you Entity have a Higher Level Owner? If YES you will be required to provide the CAGE/NCAGE Code for the Highest-Level Owner. Scenario 2. Question 1: Does your entity have an Immediate Owner? If NO then question 2 will not be enabled and you can proceed with the rest of your SAM registration.
