  17. Introductory Remarks A business (also called a company or an enterprise) is an organization formed for the purpose of making a profit from the sale of goods and/or services. Such an organization is predicated on systems of law governing contract and exchange, property rights, and incorporation. Sole ownerships, partnerships, or limited-liability companies (or corporations) are common forms of business enterprises. The management structure of business enterprises is customarily made up of Shareholders, Directors, CEO(chief executive officer), Senior executive officers, Middle /line managers.

  19. What Kind of Business Enterprise is Best for You? When starting a business, you must make a decision about which form of business organization and what kind of management structure will be best for you. Your better understanding of how each structure works opens the door for right decision (1). Here’s a rundown*of the most common forms of business ownership and structure of management: Forms of Business Enterprises Business enterprises customarily take one of three forms: sole ownerships, partnerships, or limited-liability companies (or corporations).

  20. In the first form, a single person holds the entire operation as his personal property and takes all the profits and all the risks. Most businesses are of this type. For example, plumbers, electricians, television repair people etc are typical sole traders. Nowadays lots of people are setting up their own businesses by creating small web-based companies working from home (2). The second form, the partnership, may have from 2 to 50 or more members, as in the case of large law firms, accounting firms and advertising agencies(3). Each partner may receive varying shares* of the profits depending on their investment or contribution (4); and each partner has total and unlimited personal liability of the debts incurred by the partnership. Whenever a member leaves or a new member is added, the firm must be restructured as a new partnership

  21. The third form, the limited-liability company (LLC), or corporation, is a for-profit, limited liability entity* that has a separate legal personality from its members. A corporation is owned by multiple shareholders and is supervised by a board of directors, which hires the business‘s managerial staff (5). In addition to privately-owned corporate models, there are state-owned corporate models (6). Mostlarge industrial and commercial organizations are limited-liability companies. Obviously it’s better for you to consult with your lawyer and/or accountant in each specific case to determine which form of organization best fits your needs. Of course, your initial choice is not unchangeable. You can start out as a sole trader or partnership and later, with the growth of your business, you can change your business to an LLC or a corporation.

  22. Management Structure of Business Enterprises Most enterprises can be divided into three parts (7): capital (shareholders); management and labour. The management structure can be represented as follows (8) : Shareholders are the owners of a company. They hold shares of stock in the company and receive a share of the profits as dividends*.

  23. Directors are the elected representatives* of shareholders to run the company (9). A director is a senior manager who is under the authority of the Chairperson or President (10). The Board of Directors is responsible for deciding overall company policy and capital expenditure (11). Executive directors are concerned with the day-to-day running of the business(12), Non-executive directors provide regular advice to the company but are not directly involved in the day-to-day supervision of the company(13). The CEO or MD (Managing Director) is the link between the Board and senior management. Middle managers(also called Line manager) are in charge of running sections or department within a company (14). They are accountable* to senior management for their particular area of responsibility as illustrated in the organization chart(15).
