The Beginning • At the end of intake 1, • The idea of the wider dissemination of the CG/CD concept was a common concern, • Raised by KS & AG, • A general meeting was then held at the EIoD between participants from both intakes, EIoD & IFC, • A team was then nominated to take matters forward & set the wheels in motion

  3. The Team • Afifi Afifi, • Alaa Edris, • Mohamed El Barkouki, • Osama Mourad, and, • Medhat El Madany.

  4. The Team’s Main Mission • To establish the spring board through which CDFE is to launch, • Develop the guiding inspirations of the Forum represented in its Values, Mission and Vision, and, • Develop a framework for the Forum initial goals & objectives.

What then Happened? • Several meetings took place, • Lots of brainstorming sessions, with insight from IFC as well, MS joined in one meeting, • Relevant agreements reached, • Outcome presented to EIoD, IFC, and participants, • Discussed in details and overall consensus was obtained • CDFE was established under the umbrella of the EIoD

  6. CDFE Purpose/Mission “To promote, nurture and develop the culture of Independent Directorship through CG context in Egypt and the MENA Region.”

  7. CDFE Vision “To be the reference for Independent Directors in Egypt and the MENA Region”

  8. What Will Govern our Behavior? • Integrity • Role modeling CG principles • Equality • Transparency • Generate respect and trust • Open to ideas • Behave with boundary-less passion • Abundance mentality

Membership Criteria • It is an exclusive group of members within the EIoD • The membership committee would enroll in the forum two types of members: • Member: A certified director by a renowned accredited body like ISS accredited courses or any other accredited international or local institution • Associate member: CEOs, key executives and BODs in private and public sector responsible for the strategic direction of their organizations and are not certified.

Forum Initial Structure • A 5 members Executive Committee to serve till the end of 2007, elected by members. • EIoD will support the EC by assigning a coordinator. • A membership committee will be formed. • The findings and recommendation of the membership committee to be approved by the executive committee.

  11. Objectives Framework • To have 30 members by the end of 2007. • Participation of certified directors in top 100 CASE companies • Achieving the recognition of regulatory bodies such as CMA,GAFI • Running training and development for non-certified directors and associate members • Local & Regional networking.

Objectives Framework • Design effective business tools to support directors in their decision making process • Raise the awareness of independent directors role on boards • Publish case studies and the work of all Forum members for the business community • Provide support and benefits for all members
