  4. BOARD’S LEGAL DUTIES • DUTY OF OBEDIENCE • Carry out the mission legally • DUTY OF CARE • Operate in good faith, with reasonable care, in the best interests of the organization • DUTY OF LOYALTY • Avoid conflicts of interest, maintain confidentiality and discretion
