What we have done so far We have been operating in Turkey in the field of Public and Infrastructure Finance through the specialized arm BIIS for several years: • supporting public and private entities active in implementing the country’s infrastructures plan; • acting as advisor and lender in Public and Infrastructure PPP/PFI (see track record in the following); • playing the role of “bridge” between Turkish Public Administration needs and private entrepreneurs: • Round Table Italy-Turkey in Rome (21 October 2011) • Follow-up “Italy and Turkey: building together” today in Istanbul, aiming to select the projects and pre-assess “if and how” they’re feasible and bankable.

  5. Infrastructure PPP/PFI We are currently involved as advisory and Mandated Lead Arranger in the project financing of two important infrastructures projects developed as PPP/BOT:

  6. Gebze-Izmir Motorway and Izmit Bay Crossing • The Project involves the financing, design, construction, operation & maintenance, and transfer of 421km of new six-lane tolled Motorway from Gebze (east od Istanbul) and Izmir • It includes a landmark long-span suspension bridge over the Izmit Bay between Diliskelesi at the north and the Hersek Peninsula at the south. With an overall span of approximately 2,800–3,000 meters it would be one of the longest suspension bridges in the world today • The Motorway will occupy an important place in the national transportation network of Turkey due to the characteristics of the cities and regions it will serve • The Project is being developed on a BOT basis. The Contract Term is 22 years and 4 months • The six Turkish and Italian sponsors of the Project are Nurol, Ozaltin, Makyol, Astaldi and Gocay

Kayseri Hospital • The Project is the first ever PPP project in the Turkish healthcare sector and is part of the MoH’s Health Transformation Programme supported by the World Bank • The Kayseri Integrated Health Campus covers an area of 385,000m2 and includes a 1,300 bed Main Hospital as well as a 200 bed Rehabilitation Hospital, a 100 bed High Security Psychiatric Hospital, an Administration Building and a Technical Service Centre • Central to the Project is a 140,000m2 commercial area that will include shops, supermarkets, restaurants, banks, hairdressers, bookstore and a pharmacy, as well as an entertainment centre and sports centre • Additional revenues will be secured from the management of the commercial areas annexed to the Hospital Facilities • The amount of the financing will be about 500 millions USD • The sponsors of the project will be a consortium between Turkish YDA and Italian INSO

Financial and Advisory services to Private Sponsors and Public Sector Clients (1/2) Confirming the role of strategic partner for Turkey’s infrastructure development: • Advisory Services for Italian Construction Companies • Public Finance in favor of central and local entities including Utilities owned by Municipalities • Infrastructure PPP/PFI in favor of Construction Companies developing PPP/BOT Projects • Infrastructure PPP/PFI in favor of Companies developing Renewable Energy Projects • Other Financing on Cash Flow Lending Basis (Acquisitions Finance/Privatizations etc.)

Financial and Advisory services to Private Sponsors and Public Sector Clients (2/2) Expand and enforce International Public & Infrastructure activities in Turkey also leveraging on new Intesa Sanpaolo Branch opening project, through: • New operations in domestic currency • Full wholesale banking services dedicated to local corporates and public entities • Full assistance «on the ground» to Italian contractors
