  1. FSNA SASKATOON AGM 2015 NAME AND STRUCTURE CHANGES

  2. Name and Structure Changes • What is changing • Why it is happening • How it will impact you and our local Branch • When will it take place

  3. What is changing • The old FSNA is now the National Association of Federal Retirees (NAFR) • NAFR is a membership corporation with 83 local branches • There are 6 branches, Saskatoon is one, that were set up as incorporated branches provincial jurisdiction

  4. Why is it happening • Federal Government changed the Not For Profit Act (2011) • The 6 incorporated branches fall under provincial jurisdiction • 2014 National Conference voted to have no incorporated branches • Branches were given 3 years to transition from being incorporated to unincorporated (2017)

  5. How will it impact • Individual Members • The change for individuals will be as seamless as possible. • Partnership programs like MEDOC will continue as before • You will be sent updates via SAGE and emails • Oct. 21, 2015 Presentation at a Special General Meeting (Annual Fall Supper) where members will vote on several motions to facilitate the transition • Special communiqué (or SAGE) will have full details of the motions

How will it impact • Branch Executive • Draft bylaws for the Unincorporated Branch (an opportunity to streamline and update) • Proceed with steps to dissolution • Financial statements • Filing corporate documents • Oct. 21, 2015 Presentation at a Special General Meeting (Annual Fall Supper) • Vote on establishing the unincorporated charter branch • Elect Board and pass by-laws for the unincorporated Branch. • Vote on Dissolution and Dispersal of Assets

Timeline • This is a step by step process, we have until the AGM of April 2017 to finalize- • Feb. 2015 Information on transition • Oct. 2015 Special General meeting – vote on changes • Dec. 2015 Dissolve old incorporated branch • April 2016 Annual General meeting – close out books on Incorporated branch, finalize move to unincorporated • April 2016 Elect board of unincorporated officers • April 2017 First full year as an unincorporated branch
