Companies Bill -2013 Section 135 of the 2013 Act Applicability from 1stApril Net profit of Rs 5 Crore or more Net worth of Rs 500 Crore or more Turnover of Rs 1000 Crore or more OR OR Shall constitute a CSR Committee Through the mandatory provision expected 3000 companies would be covered & Rs.12000 Crore induced through CSR expenditure activities

  8. Constitution & Function of Committee Committee would comprise of three or more directors, out of which at least one director shall be an independent director. Functions of Committee • Formulate and recommend to the Board, a CSR Policy, about the activities to be undertaken as specified in Schedule VII • To recommend the amount of expenditure to be incurred • To monitor the CSR Policy of the company from time to time

Corporate Social Responsibility Responsibility of the Board Ensure that the activities are undertaken by the company Approve the CSR Policy & disclose contents in its report & also place it on the company’s website Ensure that company spends, in every financial year, at least 2% of the average net profits made over 3 preceding years

The CSR Activities must be within India and also apply on foreign companies registered here Expenditures which will not be included in 2% criteria

  12. Penal Provision Failing to spend on CSR under the 2 Percent Formula, a company and its officers are subject to liability for not explaining such a failure in the report of the board of directors. Discretionary Power in the hands of bureaucracy Draconian Law

  13. Flaws in Laws If the 2 percent allocation is not made in a given fiscal year, the CSR committee has to submit an explanation to avoid being penalized CSR  in  India  is dominated  by  the philanthropic  approach  rather  than a collaborative  approach

  15. Various arrangements are available Corporate Directinvolvement in CSR project Collaboration with NGO/Registered trust/Society If Project cost is higher, then one or more companies can join hand.

Companies may collaborate with other companies for CSR activities, provided they have to separately report about spending on such project’s programmes • The activities shall be undertaken as per its stated CSR policy, as project or programmes or activities, excluding activities undertaken in pursuance of its normal course of business. • When it comes to having manpower for CSR works, the government has said the companies can spend only up to 5% of total CSR expenditure for them in a single financial year. • This would be applicable for own personnel as well as those of their implementing agencies.
