One of the shareholders or directors of a firm may decide to quit the company, which is a common motive for selling shares. In addition to selling the company's stock, the departing director wants to get out of any collateral obligations, such as the lease of the business's premises and directors' guarantees.

  3. A well drafted share sale agreement will not only effectively transfer title in the shares but also protect the rights of the party leaving the business from ongoing liabilities, and leave the remaining parties with ownership of the business assets.
