  2. Entire Agreement Entire Agreement A clause stating that the written terms of an agreement may not be varied by any prior oral or written agreement between the parties because all such agreements have been consolidated into the contract

  3. Confidentiality/Disclosure Confidentiality/Disclosure Concerns the treatment of information as private and not for distribution except for specifically identified individuals or organizations and for specific purposes.

  4. Force Majeure Force Majeure Designed to protect against failures to perform contractual obligations caused by unavoidable events beyond the party´s control, such as a natural disaster.

  5. Non Non- -waiver waiver establishes that neither party will give up a right by not enforcing the right or by accepting at any given moment late or partial performance

  6. Severability Severability clause providing that, in the event that one or more provisions of the agreement are declared unenforceable, the remainder of the agreement remains in force

  7. Termination Termination clause establishing when and under what circumstances the contract may be terminated

  8. Assignment Assignment establishes if and under what conditions the parties to the contact can transfer their contractual rights and obligations to a third party

  9. Dispute Dispute establishes how any disputes relating to the contract will be settled

  10. Exclusion of Liability Exclusion of Liability limits or excludes obligations of one of the parties
