  • Find out who to sue!

  • Find out if they can pay!

  • Find out who the corporate officers are!

  • It is a lot easier to get information regarding public companies.

  • Information about private companies is available but you may have to pay.


State level information
State Level Information

  • Most states require businesses to register with the Secretary of State.

  • Just about every state has a searchable database which allows the user to get various types of information about different businesses.

  • Good for private companies.




Researching laws
Researching Laws you find appropriate databases.

  • USCA and USCS which are searchable and well indexed.

  • What if you only have the name of a law or very general information?

  • Google, Wikipedia are great resources as long as you verify the information with a more reliable source.

Popular Name Tables (myself included) you have a great collection of references and links to look at!

  • Commercial codes like the USCA and USCS both have Popular Name Tables.

  • These allow you to look up laws by “popular name”. (e.g. Sarbanes Oxley or Clean Air Act)

  • Organized alphabetically.

Just type “Popular Name Table” into the “Find a Database” box or use the directory. Then you can browse by letter.



Forms and practice materials
Forms and Practice Materials alphabetically

  • Believe it or not, lawyers spend a lot of times filling out forms. Don’t spend a lot of time looking for them!

  • Believe it or not, you may be asked to research something or summarize the law even though you haven’t a clue what you’re doing or what the law is!

  • This is where forms and practice materials come in!

    • These materials help the practicing attorney look like he/she knows what’s going on!

    • Both Lexis and Westlaw have tons of these available.

    • We also have many of them in print here in the library!



Securities
Securities alphabetically

  • If you offer securities to raise money then you are subject to regulation by the federal government (over $1 million).

  • The SEC regulates securities.

  • Companies are required to file various and sundry documents with the SEC.

    • 10-K = annual report

    • 10-Q = Quarterly report

    • 8-K = Update on material events

  • These filings have A LOT OF INFORMATION.
