Other Important Information: Executive Committee: • Past-President, President, President-Elect, Recording Secretary, Treasure, and Executive Director. • The Executive Committee shall act for the Board of Directors within policies as may be established by the Board of Directors. The Executive Committee shall function primarily to address those issues which are necessary for the efficient operations of SDCA where the time requirements necessitate immediate action. All actions and activities of the Executive Committee shall be communicated to the Board of Directors through minutes which are mailed within ten working days of an Executive Committee meeting. The actions taken by the Executive Committee must be submitted for ratification by the Board of Directors at the next Board of Directors meeting. • Ex. Director, Recording Secretary, and Treasure, shall serve without a vote. • The Executive Committee shall be responsible for conducting the evaluation of the Executive Director on an annual basis, for negotiating renewal of his/her contract, and for determining the recommended salary of the Executive Director which will be included in the annual budget of the Association pursuant to Board Policy.

Responsibilities of the Board • Area of Specialty and Chapter Presidents: • Ensure that their group is in compliance with the SDCA By-laws. • Attend quarterly board meetings or send a proxy • Other duties designated by SDCA by-laws and the group’s by-laws • Vote for the members of their group at SDCA board meeting. • Submit quarterly board reports to the SDCA board, and a final board report at the end of the year*

  13. Responsibilities Continued… • Standing Committees: • Attend quarterly board meetings • Recruit people to sit on the committee and help complete duties • Complete duties develop in strategic plan • Preform duties set forth by the SDCA board for the specific committee
