  2. What are the responsibilities of nonprofit Boards1? • Boards of Directors have three primary responsibilities: • Set Direction • Ensure Resources • Provide Oversight 1The Board Building Cycle, Hughes et al

  3. Set Direction • Develop & maintain focus on mission & vision • Establish & oversee implementation of a strategic direction • Delegate authority for organizational management • Articulate, safeguard, model & promote organizational values

  4. Ensure Resources • ID human & financial resources needed for implementation of mission • Establish policies for how these resources will be acquired, including policies for board member participation • Ensure that necessary resources are made available

  5. Provide Oversight • Establish financial policies & ensure accountability • Ensure compliance with applicable laws AND ethical standards • Monitor progress & evaluate outcomes

  6. There are specific legal requirements as well • Obligations for meeting legal requirements rest with Board • Duty of Care (ordinary prudent person) • Duty of Loyalty (faithfulness to the organization) • Duty of Obedience (organization remains obedient to its central purpose)
