It is an involuntary action done in case the shareholder is dead, insolvent or mentally retarded. The recipient of the shares can be any investor who is willing to purchase the shares. The shares are not sold rather they are given to the legal heir or receiver. Adequate consideration must be there. No consideration is paid.
