  1. Successful Summer Strategies Business and Securities Research

  2. Researching Business Themselves • Don’t be Rudy Baylor! • Find out who to sue! • Find out if they can pay! • Find out who the corporate officers are! • It is a lot easier to get information regarding public companies. • Information about private companies is available but you may have to pay.

  3. State Level Information • Most states require businesses to register with the Secretary of State. • Just about every state has a searchable database which allows the user to get various types of information about different businesses. • Good for private companies.

  4. www.llrx.com/columns/roundup29.htm

  5. Use the organizational structure of the directory to help you find appropriate databases.

  6. Researching Laws • USCA and USCS which are searchable and well indexed. • What if you only have the name of a law or very general information? • Google, Wikipedia are great resources as long as you verify the information with a more reliable source.

  7. There is a lot of information in this news article that we can use elsewhere.

  8. For example…

  9. Thanks to the obsessive nature of Wikipedia contributors (myself included) you have a great collection of references and links to look at!

  10. Popular Name Tables • Commercial codes like the USCA and USCS both have Popular Name Tables. • These allow you to look up laws by “popular name”. (e.g. Sarbanes Oxley or Clean Air Act) • Organized alphabetically.

  11. Just type “Popular Name Table” into the “Find a Database” box or use the directory. Then you can browse by letter.

  12. This is expandable thus allowing you to browse alphabetically

  13. Forms and Practice Materials • Believe it or not, lawyers spend a lot of times filling out forms. Don’t spend a lot of time looking for them! • Believe it or not, you may be asked to research something or summarize the law even though you haven’t a clue what you’re doing or what the law is! • This is where forms and practice materials come in! • These materials help the practicing attorney look like he/she knows what’s going on! • Both Lexis and Westlaw have tons of these available. • We also have many of them in print here in the library!

  14. This really goes into a lot of detail!

  15. Securities • If you offer securities to raise money then you are subject to regulation by the federal government (over $1 million). • The SEC regulates securities. • Companies are required to file various and sundry documents with the SEC. • 10-K = annual report • 10-Q = Quarterly report • 8-K = Update on material events • Full list is available here: http://www.sec.gov/about/forms/secforms.htm • These filings have A LOT OF INFORMATION.

  16. The CIK number is a unique identifier for each corporation.

  17. This time I used the CIK number to search.
