  3. Current WECC – Structure and Governance • Structure • 501(c)(6) entity (not for profit trade association) • Seven member classes (six with Board representation) • Governance • Large Hybrid Board – 34 members • Seven Non-Affiliated Directors (NAD) • 26 Class Directors • Chief Executive Officer

Current WECC Scope and Funding • Scope • Delegated functions and Delegation-related activities from NERC • Standards development, Compliance Monitoring and Enforcement, Reliability Assessment and Performance Analysis, Situation Awareness and Infrastructure Security, etc. • Registered functions: Reliability Coordination (RC), Interchange Authority (IA) • Non-statutory function: Western Renewable Energy Generation Information System • Funding • Section 215 allocated funding to Load-Serving Entities in U.S. • Agreements with Canada and Mexico

  5. Drivers for Change • WECC must be able to undertake all of the activities as described in its Delegation Agreement • WECC must be able to completely and effectively fulfill its reliability role as defined in the NERC Functional Model

  6. WECC Challenge Statement • Constrained from participating in Event Analyses (EA) of significant system events • Potential gaps and inefficiencies in monitoring compliance and assuring reliability in the Western Interconnection • Budgeting process and funding mechanism

RCCo – Scope • Scope • Maintains the Real-time operating reliability of its Reliability Coordinator Area • Provides a Wide Area view • Includes both transmission and balancing operations • Has the authority to direct other functional entities to take certain actions to ensure that its Reliability Coordinator Area operates dependably • Interchange Authority - authorizes implementation of valid and balanced Interchange Schedules between Balancing Authority Areas, and ensures communication of Interchange information for reliability assessment purposes

  11. RCCo – Funding • Funding • Petition for Declaratory Order regarding Section 215 funding for the RCCo – filed with FERC on March 12, 2013 • Agreements with Canada and Mexico

  12. Schedule – 2013 • March 15, 2013 – Three-member RCCo Interim Board Committee formed • March 25 – Drafts of RCCo Bylaws and WECC Bylaws amendments posted for public comment • April 16 – Bylaws review by WECC Board • May/June 2013 – FERC Order on Petition for Declaratory Order

Schedule – 2013 • June 27 – Board Meeting • Board approval of Bifurcation, RCCo Bylaws, and WECC Bylaws Amendments • Selection of WECC RC COO • June 27 – Annual Meeting • Membership approval of select WECC Bylaws amendments • Formation of RCCo and WECC MACs • July 2013 – WECC files proposed 2014 Business Plans and Budgets (BP&B) for WECC and RCCo with NERC

Schedule - 2013 • Summer 2013 – Nominating process for remaining RCCo Directors • Summer 2013 – Nominating process for remaining WECC Directors • August 15, 2013 – NERC Board decision on revised delegation agreement, BP&Bs, and associated documents • Post-August – NERC files revised delegation agreement, BP&Bs, and associated documents with FERC

  15. Schedule - 2013 • Fall 2013 – Membership vote on WECC directors • Fall 2013 – Membership vote on RCCo directors • Oct 2013 – WECC COO selected • Oct 2013 – FERC Order – 2014 BP&Bs for WECC and RCCo • Oct/Nov 2013 – FERC Order – Delegation agreement/amendment WECC Bylaws

  16. Schedule – 2014 • January 1, 2014 – Bifurcation complete, RCCo “goes live” • January 1, 2014 – WECC RC COO transitions into RCCo CEO role • January 1, 2014 – WECC COO transitions into WECC CEO role

Why should you support this effort? • A restructured, appropriately-funded WECC will benefit the Western Interconnection by: • Bringing more independence, oversight, and analysis • Clarifying roles and responsibilities • Allowing participation in all aspects of reliability • Bringing focus on reliability improvement rather than compliance risk • Creating more proactive, forward-looking organizations

How You Can Support Bifurcation • Member Representatives • Register to vote as an RCCO member • To vote on RCCo member class MAC representatives • Vote at the June 27, 2013 Annual Meeting either in person or by mail ballot • Get involved in the selection of the Member Advisory Committees • Make your opinion known to your WECC Class Director and NADs

How Can You Support Bifurcation? • Western Interconnection Executives • Understand the issues • Make sure that your company votes in the best interest of reliability • Western Interconnection Interested Stakeholders • Understand the issues • Make your opinion known to the WECC Board of Directors and or WECC Members
