  2. Contract Administration • A “Contract” is any binding agreement • Only the Board of Trustees or its designee can bind the University • Who can sign?: • Dr. Dunn, Lowell Rinker, and Jan Van Der Kley • Unless you have been given written authority, you can’t sign. University and personal liability may attach if you sign without authority and it may subject you to employee discipline as well (up to and including discharge).

  3. Contract Administration Continued • Read the procedures for non-grant contract approval (handout) • Read the contract • Complete the contract checklist (handout)

  4. Contract Administration Continued • ROUTING TIPS FOR CONTRACTS • Tim Kellogg Non-grant contracts for $50,000 or less • Jan Van Der Kley Non-grant contracts for more than $50,000 • Assigned Research Officer (please see www.wmich.edu/research) All research contracts • Mike Sharer All non-disclosure agreements and intellectual property agreements

  5. Contract Administration Continued • Expect 10 to 14 days for contract review • Longer contracts or those involving large dollars will require more time • Give us some history – what is it for, why is it needed, who has approved the concept, and what the bargaining relationship is • DO NOT SEND IT THE DAY BEFORE YOU NEED IT SIGNED!

  6. Contract Administration Continued • After the contract is signed it is up to ‘you’ to administer it: • We do not keep copies; • We do not diary dates; • We do not take ownership of the obligations • Retention: Statute of Limitations on breach of contract is six years • If there is a problem with the contract – let us know sooner rather than later
