  4. The Challenge • Turning Around Membership • Financial Stability • Growing membership • Increased educational sales • Paradigm shift – New USPS • New business model

  5. Barriers • Changing Demographics • Aging membership • Different priorities • Changing Markets • Boating trends • Outdated USPS Structure • Slow response to changes

  6. We Are Uniquely Complex • Governing Board • Only two meetings per year • Insufficient time to effectively examine details • Slow response time • Operating Committee • Limited authority, dependent on GovBd approval • Meets regularly, but not empowered to act

  7. We Need to Change • Why? • Current oversight system – not optimal • Organization • Too sluggish to respond • Stuck in past • Not in sync with new boaters • Losing market recognition • Too many hurdles to make needed changes

  8. The Corporate Model • Most Organizations use this model • Shareholders or Stakeholders • Elects the Board • Approves Resolutions • Approves Dues and Assessments • Board • Sets Vision and Direction • Sets policy • Conducts budgeting and Operational Review

  9. Our Proposed Model • Governing Board(~ shareholders) • Expanded to include Delegates • Elects the National Board / Officers • Votes on District Resolutions • Votes on National By-Laws Changes • Votes on National Dues, Assessments

  10. Our Proposed Model • Board -reports to GB • Consists of Nat’l Bridge & immediate P/C/C • Elected annually (by GB) • Overall responsibility for USPS • Creates/interprets policy under Bylaws • Reviews operating budget • Approves new products and programs

Advantages • Streamlined structure • Board meets regularly • Can review & expedite decisions • Draws upon support only as needed • Responsible for implementation and results • Seize business opportunities • Reduced expense/quicker response • More efficient structure • Clear lines of authority and accountability
