May 2011 SERVICES (i) Supply Chain Management and Logistics • Materials can be delivered via UTT warehouse process procedure. • Materials are sourced, compared, purchased, paid and stored in UTT warehouses. • Stock is replenished based on stock level analysis. • At the conclusion of a contract/project clients obtain their stock by way of a buy back clause. • UTT also consolidates materials purchased in a certain period for a specific client. • Services could be charged based on a percentage, fixed price per activity executed etc. (ii) Indirect Materials Procurement • For some clients UTT provides for the procurement of materials directly related to the product they produce. In example, UTT purchases all packaging materials (rappers, boxes etc.) for CPC (chocolate) in Ghana. • If requested UTT sources, compares and analyses information in respect of available procurement options and provides the client with a proposal as to the most favorable arrangement. • Clients may place orders themselves and UTT receives payment for work done, alternatively clients instruct UTT to place the required orders and UTT then takes care of the entire process.

  17. July 2010 COMPANY OVERVIEWBOARD OF DIRECTORS • AlbertusNoorlander (1951) – Managing Director Bert Noorlander joined UTT logistics B.V. in 1991 as General Manager. Soon after he became a major shareholder and Managing Director of the UTT group through a management buy-out. He had many years of purchasing experience at several engineering companies, followed by management positions within the procurement departments of large petro-chemical industries. From 2006 till 2008 he also acted as General Manager of the Afam Procurement Joint Venture. • Walter Thoen (1972) - Director Walter Thoen started working for UTT in 1992 as a software developer. After graduating in 1997 with a MSc degree in Computer Science from the Erasmus University Rotterdam he combined his work as software developer at Tecnorth Limited (UK) with a research position at Erasmus University Research Institute for Decision and Information Systems. In 2000 he rejoined the UTT group as IT Director. In 2005 he moved from the ICT department to the project procurement services department. Since 2006 he has been responsible as Project Procurement Manager and Project Expediting & Inspection Coordinator for the AfamOkoloma Gas Plant and OML58 Upgrade Phase 1 projects respectively.

July 2010 COMPANY OVERVIEWMANAGEMENT TEAM • FransFlipse (1950) - Financial Manager for UTT group FransFlipse has 39 years experience as financial controller in various profit and non-profit organizations of which 29 years at an international transport company. He joined UTT in 2007 as Financial Manager and he played a major role in restructuring the financial management of UTT during the financially turbulent years resulting from the discovery of fraud in the UK business. • Jordi van Baarle (1977) – General Manager for UTT in the Netherlands Jordi van Baarle joined the logistics and expediting department of UTT in 1998 after completing his ‘International Trade’ education. In 2004 he became the manager of the logistics and expediting department. In 2008 he was promoted to the position of Procurement Manager. Jordi also holds a NIMA-A certificate from the Dutch Marketing Institute. • Ian Ratheram (1963) – General Manager for UTT in the U.K. Ian Ratheram joined Tecnorth Limited in 1997 after serving for many years in the Royal Air Force. During his military career his role was in supply and movements. He joined Tecnorth as a buyer and he became responsible for the e-procurement activities of Tecnorth Limited. After the takeover of Tecnorth Limited he became senior buyer at UTT logistics/Tecnorth Limited and currently he is responsible for the U.K. office as Procurement Manager. • Pete Smith (1950) - General Manager UTT Procurement Nigeria Limited (not part of UTT group B.V.) Pete Smith has 32 years experience working in the Contracts & Procurement division of Shell. He held the position of Procurement Manager for SPDC Western Division for 5 years and he was the SPDC Afam Procurement Representative for 2 years. He also worked 2 years for Total Nigeria and 3 years for a SCM training company
