  2. Aims • Discuss the concept, ‘governance’; • Discuss aspects in a governance framework; • Discuss the breadth of the concept ‘governance’ in managing business; • Ilustrate approaches to teaching about ‘governance’.

  3. What’s the problem? Despite being bailed out with more than $US170 billion ($A258 billion) from the Treasury and Federal Reserve, American International Group is preparing to pay about $US100 million in bonuses to executives in the same business unit that brought the company to the brink of collapse last year. Pacific Brands ……closing its Australian manufacturing facilities - shedding 1,200 manufacturing and 650 non-manufacturing jobs over 18 months - after it had received more than $15 million in taxpayer assistance over the last two years …..The company's 13 chief executives' combined salaries rose from $7m in 2007 to $15.4m in 200….The remuneration of the new chief executive, Sue Morphet, increased to $1.68m - almost three times her previous salary of $685,755.

  7. Solve the Problem! You are a team of consultants who have been bought in to advise about the following: • The Aloso Soccer Club (known as the Club) has been losing members because of some ‘reputation’ problems in the past. • One of the causes of the Club’s reputation problem is that there is a group of parents and kids who are very critical of kids who don’t play well. • How can the Club address this problem?

  8. Cont… • For the Club to survive the Soccer Federation has said it needs to have a membership of at least 100. It only has 50. • What should the Club do? • A key problem for the Club is that decision-making is not clear. There is a parents management committee, a Head Coach and Assistant Coach who get paid an honorarium. • What should the Club do?

Cont… • Another cause of the reputation problem is that Club players have been accused in the past of not playing according to the rules. • What should the Club do? • Where do they find these rules? • How do they implement and enforce these rules? • Five years ago the Club had a similar review, but the same problems have emerged. • What can the Club do to make sure these policies are now followed?

  11. Approach Two • You want to join the local football club, but you don’t know anything about it. What would help you? • You are concerned that the bigger kids in the football club may push the smaller kids around. What do you need to know to help you decide if you want to join?

  12. Cont…. • As a 15 year old you are being charged a different membership fee than your 13 year old brother. Why would this be the case? • Your Assistant Coach has told you that there is no practice on Friday, but the Coach has said the opposite. Who would you listen to and why? • You do a lot of boxing practise for football practise and you don’t understand why. What do you need to know?

  13. Extending the Discussion • Do the principles of governance differ between industry sectors • Do governance plans differ between the private vs the public sector

In summary… • Governance is the set of roles, responsibilities, and processes that you put in place to guide an organization in its development and operation. • Planning for governance requires: • Identifying the stakeholder teams and individuals who will compose the governance body • Entrusting that body to determine the governance strategy for the organization, map out the policies that will implement the strategy, and determine how the strategy will be enforced across the organization. • There are a number of approaches to teaching about governance.
