  1. Lernen von SOX: von der regelbasierten zur modellzentrierten Sichtweise 31. Mai 2010 ao.Univ.Prof. Dr. Franz Hörmann http://www.franzhoermann.com http://www.antibilanz.info franz.hoermann@wu.ac.at

  3. Occupational Fraud (ACFE 2008 Report to the Nation) Median Loss: - Asset Misappropriation: 150.000,- $ - Corruption: 375.000,- $ - Financial Statement Fraud: 2.000.000,- $ http://www.franzhoermann.com

  4. Occupational Fraud (ACFE 2008 Report to the Nation) Occupational frauds were most often committed by the accounting department or upper management. 29% of frauds in this Report were committed by persons in the accounting department, while 18% were committed by executives or upper management. Frauds committed by executives: Median Loss: 853.000,- $ http://www.franzhoermann.com

  5. Sarbanes-Oxley Act Entstehung: 2000/2001: Rückgang der Accounting-Studenten in USA um über 30% Umfrage und Rundschreiben der AAA: „Accounting an den Universitäten wird verschwinden!“  2002: ENRON-“Skandal“ http://www.franzhoermann.com

  6. Sarbanes-Oxley Act You mean doing the kinds of things that Enron and Andersen did?"Yes. Exactly."So there's a whole system that does this?"A system that turns around and does it. Without a doubt."And all of the big accounting firms have that?"Yes. Every one of the big accounting firms has such a group...."So, in Enron, we haven't just stumbled into something that may have happened. We've run into something that is a fairly common practice?"This is day-to-day business operations in accounting firms and on Wall Street. There is nothing extraordinary, nothing unusual in that respect with respect to Enron." D. Quinn Mills ("Wheel, Deal, and Steal - Deceptive Accounting, Deceitful CEOs, and Ineffective Reforms", 2003, pp. 84) http://www.franzhoermann.com

  7. Sarbanes-Oxley Act „Politisches Gesetz“ zur „Stärkung des Vertrauens in die Finanzmärkte“: - ENRON entsprach den Unabhängigkeitsregeln für das board of directors (Accounting Prof. verstand Prüferdokumente nicht) - Kostenexplosion  Flucht von US-Börse - Section 404 Costs: 20 times higher than estimated (Paul Atkins, SEC) - Keine Folgen im Bereich “Detecting Fraud in Financial Statements” (Debra L. De Vay, 2006) http://www.franzhoermann.com

  8. Das Ende der Bewertungstheorien Heute kann praktisch JEDE Ware zu praktisch JEDEM Preis erworben werden (Internetauktion oder Einkaufsstrasse)  der Preis ist nicht mehr Attribut der Ware sondern IMMER das ERGEBNIS EINES VERHANDLUNGSPROZESSES Preis Käufer Verkäufer Wert http://www.franzhoermann.com

  9. Unternehmen als kausale Prozesskette • expectation  agreement  claim  payment • Im traditionellen Rechnungswesen werden nur claims (Forderungen, Verbindlichkeiten) und payments abgebildet. • Payments without claims: Glücksspiel, Bestechung • Claims without agreements: Erpressung, Betrug, ... Steuern! •  Verhaltensmäßige Grundgesetze der menschlichen Wahrnehmung! http://www.franzhoermann.com
