Resolution on the readiness for signing the founding documents of the 16th FAIR International Steering Committee Meeting, held on 14th May, 2008 in Darmstadt, Germany Considering the state of completion of the founding documents (the Convention with its five Annexes and the Final Act), ready for signature and subsequent formation of the FAIR GmbH, the FAIR ISC would like to express its appreciation of the achieved progress. Based on the above, the FAIR ISC recommends now the second half of September 2008 for the Conference of the Delegates of the Governments of the participating Countries and asks the German Delegation to suggest a date. It is expected that a significant number of the signatories of the FAIR Memorandum of Understanding will be ready to sign the founding documents at the above date. The prospective Contracting Parties are invited to confirm their contribution to the construction costs and to designate as soon as possible their Shareholders in order to establish the FAIR GmbH. It is furthermore anticipated that the remaining MoU signatory and observer Countries will be ready to sign the founding documents at a later date and name their Shareholders designated to join the FAIR GmbH. Notwithstanding, the FAIR ISC invites all its Members to pursue without any delay the internal procedure for acceptance of the founding documents and preparations for the signing ceremony.

Resolution (continued) on the readiness for signing the founding documents of the 16th FAIR International Steering Committee Meeting, held on 14th May, 2008 in Darmstadt, Germany The FAIR ISC is also grateful to the AFI Working Group for its work on the by laws, i.e., Staff Rules, Financial Rules, Procurement Rules and related documents, Rules of Procedure for the Management Board, Rules of Procedure for the Council, and the Guidelines for In-kind Contributions. It approves the presented texts and recommends them for the future acceptance by the FAIR Council. Furthermore, the FAIR ISC approves the draft of the Business Management Contract between the FAIR GmbH and GSI mbH and recommends the FAIR Council to advise the future Managing Directors of FAIR to take this document as basis for concluding such a contract with GSI. At the same time, the FAIR ISC acknowledges that there is a small number of issues still to be clarified, including (i) the binding confirmation of contributions from the participating Countries, (ii) the names of the future FAIR GmbH Shareholders and (iii) the appointment procedure for FAIR managerial positions. These will need to be dealt with well before the Conference. The FAIR ISC asks the Delegates to bring this Resolution to the kind attention of their Ministers.

Draft: Convention concerning the construction of the FACILITY FOR ANTIPROTON AND ION RESEARCH FAIR Annex 1B: Description of the FAIR Start Version to be constructed first Preface: Based on available commitments to fund FAIR, at present close to the amount of 940 M€, the Start Version will be constructed first, providing a world-leading facility in its scientific domain and allowing for rapid achievement of major scientific goals. It is important from the scientific point of view to construct the full FAIR facility as described in Annex 1A to the FAIR Convention as soon as realistically possible. Therefore, when funding for an item not included in the Start Version becomes available, construction of the corresponding item may start, subject to the FAIR Council decision which should, among other issues, take into consideration financial risks associated with costs of the Start Version. Below, the description of the FAIR Start Version is given, whereas Phase B refers to items not included in the Start Version. The Annex 1B is complimentary to the Annex 1A and should not be considered a stand-alone document. All prices quoted in this document are 2005 values as provided in the FAIR Cost Book. Draft: Budget of the FAIR GmbH • The budget of the FAIR GmbH contains the construction budget of FAIR plus the Running Costs of the FAIR GmbH: • Part I: Costs for personnel of FAIR-GmbH ( direct personnel costs) • included in FAIR construction cost of 1187 million € • Part II: Running Cost of FAIR GmbH include: • - infrastructure (offices, facilities, IT, storage,..) • - travel • - consumables • - administrative costs (financial, and statutory necessities (e.g.,auditors, legal costs, Committees, Public Relations) • - investments (equipment) • - User office • - travel costs for persons travelling on behalf of FAIR GmbH • - offices for FAIR users • Part III: Costs for the construction of the FAIR facility.
