MUA Annual General Meeting Voting requirements • 33 members attending • 1 vote per member (excluding 3rd party members) • Simple majority of votes cast. • Adoption of Annual Accounts • Amendments to MUA Constitution • - increase committee from 10 to 12 • - addition of Appendix 3 – Glossary of Terms • 3. Election of new committee member(s)

Adoption of Annual Accounts 2006 Year-End (Key issues) • Independent • Non-profit organisation • Break-even = 40 members (yr end 80 members) • Cash surplus c/fwd from previous years • First year of needing to submit accounts to Companies House – effectively new company • 2005/6 Change of emphasis • - from building reserves (new members) • - to delivering added value to membership • = spend the money.

Adoption of Annual Accounts Resolution 1 The members of the Movex User Association, hereby accept and adopt the Annual Accounts for the year 2005/6, as produced by our Accountants, McGregors Corporate, Mansfield on 9th October 2006, at the annual general meeting of the company held on 7th November 2006. Resolution No 1 *for *against *Strike out whichever is not desired. The MUA Committee recommends a vote “for” the resolution

Changes to the MUA Constitution Section 5.4 • To increase the number of committee members from 10 to 12. • - growth of the MUA • - to ensure always a quorum Apprendix 3 - Glossary of Terms • To negate the need to change the Constitution each time there • is a change of name, ownership, or marketing strategy. • - Company name: Acksus Movex Intentia Lawson • - Product name: Movex M3

Amendment to MUA Constitution Resolution 2 The members of the Movex User Association, hereby accept and adopt the increase in the number of committee members from 10 to 12, as specified in section 5.4 of the MUA Constitution, at the annual general meeting of the company held on 7th November 2006. Resolution No 2 *for *against *Strike out whichever is not desired. The MUA Committee recommends a vote “for” the resolution

Amendment to MUA Constitution Resolution 3 The members of the Movex User Association, hereby accept and adopt the new Appendix 3 – Glossary of Terms of the MUA Constitution, at the annual general meeting of the company held on 7th November 2006.
