  2. District 9600 District 9600 covers Papua New Guinea Solomon Islands – Nauru and a defined area in South – East Queensland

District 9600 The District is a company established in May 2007 under the Australian Commonwealth Corporations Act 2000 and registered as a company limited by guarantee with the Australian Securities and Investments Commission [ASIC]. The Rotary Clubs within the geographic area of the District are the Members of the Company and control the company through General Meetings and help in conjunction with District Conferences, District Assemblies and District Rotary Foundation Seminars - all in accordance with the Constitution. The Company will lodge statutory returns as required by ASIC.

The District Board The Board of Directors comprises: • District Governor: John Leddy • District Governor Elect: Alan Stephens • District Governor Nominee: John Lane • Secretary & Administration Officer: David Winters • Chairman, District Finance: Angie McPhee • Immediate Past District Governor: George Grant

  5. District 9600 District Consultative Committee consists of The Board of Directors SERVICES • Community • International • Vocational • Youth • Foundation

  6. District 9600 District Consultative Committee consists of Membership Public Relations Assistant Governors • 12 Cluster Groups

  7. District 9600 Reporting for Board & DCM Meetings The Board meets on theSecond Thursday of each Month between 5:00pm and 6:30pm. Followed by the DCM – District Consultative Meeting. The Chair of each Committee and all Assistant Governors are required to submit a written report to the Secretary for each meeting.

  8. District 9600 Reports should be received by the Secretary no later than the Friday preceding the meeting. Prompt receipt of reports ensures that the Agenda is distributed to the Board and Committee Chairs in good time before the meeting. Chairs are invited to speak briefly to their reports and add any last minute activities.

  9. District 9600 Club Presidents Monthly Reports to Assistant Governors To enable the AG’s to submit their reports on time it is important that Presidents submit their reports to their AG no later than the Monday preceding the Friday that the AG’s report is due. MAY 2015

District 9600 ANNUAL GENERAL MEETING Annual General Meeting means the annual meeting of the members of the Company required to be held each year under the Act and the Organisations Constitution; The Annual General Meeting must be held within 5 months of the end of each Rotary Year unless the Australian Securities and Investment Commission approves otherwise.

  13. District 9600 ANNUAL GENERAL MEETING The notice convening the Annual General Meeting must be given at least 21 days in advance of the Annual General Meeting and specify that the meeting is an Annual General Meeting. The ordinary business to be conducted at the Annual General Meeting is:

District 9600 ANNUAL GENERAL MEETING BUSINESS • the consideration of the annual financial report, Directors' report and auditor's report; • the confirmation in office of the Board of Directors selected in accordance with these Rules (as the case requires) for the current and/or next Rotary Year; • the appointment of the auditor; • the fixing of the auditor's remuneration; and • the status of the Company’s incorporation.

  15. District 9600 ANNUAL GENERAL MEETING BUSINESS QUORUM Except as otherwise provided in the Constitution, at least one half of the total number of District Clubs of the Company present by their Electors or proxy constitute a quorum.
