IAM Asia • Some Insights and Feedback • Website use is being delegated to subordinates- Many do not know they can update their profile or control what IAM communication they personally get, country information updates, view prospective members or report errant behaviors • Social Café support is weak- It’s for business! Raises awareness, broadcasts information • Many do not know how RPP works • Is Membership Balance right?Criteria, Member count, vetting, value proposition of Governing membership, getting all multi-country members to sign up sister companies • Annual Convention meets Member Needs- Speed meetings, Parallel meetings, Regional meetings • Members unaware of promotional resources- Blogs, Portal , E-alerts • Members doing freight and logistics but have not (yet) joined ILN • IAM weak in some countries and regions- incentives to sign up sister companies, promoting IAM brand

Proposed IAM By-Law Amendments and/or Revisions • Subject: Adding a new Overseas Core Member Representative • Amendment Proposer: IAM Executive Committee • Objective of Proposal: In recognition of the number of Core Member companies located outside the United States of America, the Executive Committee wishes to add a third Core Member Representative to the IAM Executive Committee. This new position will be elected by the Core and Supplier Members. The individual holding the position must reside outside the United States and the Core Member Company to which he/she is affiliated must be domiciled outside the United States and be in good standing with the Association. • Proposed for the consideration and approval of the Core, Supplier and Governing Membership.

Proposed IAM By-Law Amendments and/or Revisions • Article VIII, Executive Committee • Section 1 • The Executive Committee shall consist of the Chairman, the Vice Chairman, the four Members-at-Large, and the Core Members Representative, a Core Representative-at-Large, and an Overseas Core Members Representative. Only an owner, part owner, officer, or designated employee of a firm which is a Governing Member in good standing shall be elected by the Governing Members to the Executive Committee by the Governing Membership. Only an owner, part owner, officer, or designated employee of a firm which is a Core Member in good standing shall be elected to the Executive Committee as a Core Member by the Core and Supplier Membership; and the Overseas Core Member Representative must reside outside the United States and the Core Member Company to which he/she is affiliated must be domiciled outside the United States and be in good standing with the Association.

Proposed IAM By-Law Amendments and/or Revisions • Article IX - Elections • Section 5 • The three representatives of the Core and Supplier Membership shall be elected by and from the Core and Supplier Membership in the same manner as provided in Section 4 of this Article for elections by and from the Governing Membership, as provided for in Article II of the Addendum to these By-Laws covering Core and Supplier Membership. Each Core and Supplier Member in good standing who is present shall be entitled to one vote.

Proposed IAM By-Law Amendments and/or Revisions • Addendum – CORE and Supplier Membership • Article 1 – The CORE Membership Board • Section 1: The authority of the Core and Supplier Members shall be vested in the Core Members Representative, and the Core Members Management Board (CMMB). The CMMB shall consist of the Core Members Representative, the Core Members Representative-at-Large,the Overseas Core Member Representative, and two Representatives each for Africa; Central, South America and the Caribbean (including Mexico); Europe (including Russia); Eastern and Southern Asia; Middle East and Near Asia (including Western, Southern, and Central Asia); North America (including Canada and the State of Alaska); and Oceania (encompassing Australia, New Zealand, and the Islands of the Pacific, including Guam, American Samoa, and the State of Hawaii). • Only an owner, part owner, officer, or designated employee of a firm which is a Core Member in good standing shall be eligible to serve as a Core Member on the CMMB. Each board member, except for the Core Members Representative, the Core Members Representative-at-Large, and the Overseas Core Member Representative, shall be appointed by the Core Members Representative, take office on the first day of the month of December following such appointment, and shall serve for one year or until a successor is duly appointed. The President of the Association shall be an ex-officio member of the CMMB, shall have notice of all meetings, and shall have the right to participate in such meetings, but will have no vote.

Proposed IAM By-Law Amendments and/or Revisions • Article II – Elections • Elections CORE Members Representative, CORE Members Representative-At-Large and OVERSEAS CORE MEMBER REPRESENTATIVE • Section 1: • The Core Members Representative, the Core Members Representative-at-Large and the Overseas Core Member Representativeshall be elected by the Core Membership at its Annual Meeting, shall take office on the first day of the month of December following the date of election, and shall serve for a period of two years or until a successor takes office. Each Core Member in good standing shall be entitled to one vote. The Core Member' Representative, the Core Members Representative-at-Large and the Overseas Core Member Representativeshall be entitled to vote at the Association's Executive Committee Meetings on matters which directly affect the Core Membership.

Proposed IAM By-Law Amendments and/or Revisions • Article II – Elections • Elections CORE Members Representative, CORE Members Representative-At-Large and OVERSEAS CORE MEMBER REPRESENTATIVE • Section 2: • In order that the election may be facilitated, the President shall appoint a nominating committee of three Core Members, not less than thirty (30) days preceding the election, who shall nominate from the Core Membership not less than one individual for the position of Core Members Representative and not less than one individual for the position of Core Members Representative-at-Large and not less than one person for the position of Overseas Core Member Representative. Such nominations shall not preclude additional nominations from the floor by Core Members in good standing. • If a contest develops at the election, such contest shall be decided by a poll of written ballots, conducted by the Core Members Representative or his/her delegate.

  44. Proposed IAM By-Law Amendments and/or Revisions • Article II – Elections • Elections CORE Members Representative, CORE Members Representative-At-Large and OVERSEAS CORE MEMBER REPRESENTATIVE • Section 3: • A vacancy in the position of Core Members Representative or the Core Members Representative-at-Large or the Overseas Core Member Representative which occurs by reason of death, resignation or otherwise may be filled by a majority vote of the CMMB. Such vote may be taken by mail ballot and the person so selected shall serve only for the remainder of the term of the person replaced.
