Background • South Bihar Power Distribution Company Limited (SBPDCL) issued Request for Proposal (RFP) for Appointment of Distribution Franchisee for Gaya Town and adjoining Areas on 8th April 2013; • M/s DPSC Ltd submitted its Bid before the due date of 18th May 2013; • Following Bidders submitted their Bids for Gaya Distribution Franchisee: • M/s DPSC Limited, Kolkata • M/s EsselAdi Smart Grid Solutions Ltd, Mumbai • M/s SPML Infra Limited, Kolkata • Financial Bid opened on 27th June 2013, M/s DPSC Ltd emerged as “Highest (H1) Bidder”; • SBPDCL issued Letter of Intent (LoI) to M/s DPSC Ltd on 10th August 2013; • M/s DPSC Ltd gave “Unconditionally Acceptance” to LoI on 24th August 2013.

  3. About Gaya Franchisee area • Gaya Franchisee area includes: • Area of supply includes Bodhgaya – hub for Buddhist Pilgrimage • Catering electricity needs of ~ One Lakh Consumers • Connected load ~ 191 MW • Input Energy ~ 330 MU • T&D losses ~ 62.2% • Collection Efficiency ~ 84%

  4. How does a Franchisee Work? • 7th proviso to Section 14 of the Electricity Act, 2003 - allows any person to undertake the distribution of electricity for a specified area on behalf of the Distribution Licensee without obtaining separate license; • Business Model for Distribution Franchisee:

  5. Way Forward… • Entering into Distribution Franchisee Agreement after payment of necessary collateral instruments (Letter of Credit, Bank Guarantees etc.) – expected by 3rd Week of Sept 2013; • Expected TakeOver Date- end of 2013
