Project Status • The Potential Lot for the project is a part of a High-rise residential development project owned by Khang An (Local Developer) • Land Use Right for residential development is already in-place by Khang An • Potential lot for Hospital is 8,000 sq meter+ and needs a conversion of Land Use Right to Hospital Use • Victoria Health Group in under negotiation with Khang An to secure the Potential site (MOU between Khang An and Victoria is scheduled in early August. • Victoria Health Group wants Samsung C&T to be a partner bringing capital and hospital construction expertise <Potential Hospital Site> <Original Plan, Residential Development> <Hospital Design Concept>

  4. Action Plan * All these action items are between VH & KA. C&T’s R&R and time of engagement shall be studied more

Land Usage Right • Processes for converting Commercial Usage to Hospital / Public Usage • Probability of getting Land Usage Right converted • Government authorities involved in these processes • Expected processing time and fees for the conversion • Roles of each party involved in the process (i.e. land owner, consultants, etc.) 2. Land Valuation • Average price differentials between Commercial vs. Hospital Usage Property • How this price differential gets dealt with at times of usage conversion * Does new planned owner of the usage right pay the price differential? * Or, does new planned owner pay the newly appraised price for the land? • Initial appraisal methodology for escrow account opening by the land owner • Financing • Certain unique financing conditions for Vietnamese / HCMC market
