  3. Reasons for merging • Did not work in 2003 @ Institute level • UNITY of the profession • Realisation of the economies of scale • Value of membership increases • Removal of duplication

  4. Financial implications ARE NOT the primary driver for a merge • However… • Merged entity will be financially stronger than the two organisations separate

Regional situation • All regions have IS Divisions integrated with SSI regions except for NSW, Victoria (& ACT to some extent) • Majority of the regions are awaiting the merger so the two organisations can merge at the regional level into the new entity • The decision to merge into the new entity will be the decision of the IS Divisions due to the federated nature of ISA.

  6. Regional situation • NSW & Victoria have two of the largest membership bases • ISNSW along with ISVIC have traditionally resisted the merger

  7. Why is ISNSW at the negotiating table? • ISNSW invited SSI and ISA back to the table to finally merge the entities • ISNSW have a large membership that can influence a dissolution of ISA and merger vote • In order to make a merge successful in 2008 ISNSW is being actively involved

Merger Working Group Process Merger Working Group meet once a month Draft solutions to key issues such as name etc Present concepts to respective boards for discussion & approval Communiqué received by respective memberships Member feedback considered by respective boards & Merger Working Group

Final decision is up to you…the membership • Vote for dissolution of SSI & ISA will go out to the memberships • 75% majority of votes received is required for dissolution • Vote for the new merged entity based on a prospectus which will include: • Name, Governance Model, Membership Structure, • Financials & budget, Services, Purpose, Code of Ethics & Statement of Liability • That is what negotiation is about- finding common ground

  10. Compromise for unity • Perception that SSI is making all the compromises is incorrect. • In order for SSI, ISA and ISNSW to reach common ground on philosophical differences, all have had to make compromises That is what negotiation is about- finding common ground

Compromise for unity-Naming of the new entity • Why consider changing the name? • We are creating a new organisation with a positive & collective culture • Carrying forward existing names was a deal breaker for ISNSW • Naming competition • Fair and democratic way forward involving membership of both memberships

  12. The Naming Competition • First vote yielded 10 most popular names • 7 of 10 included both “Surveying” and “Spatial” • Interestingly, 8 of 10 included the word “Australia” • MWG sought marketing advice, and shortlisted 4 names, with comments and reasoning included.

Compromise for unity-Membership types • Philosophical differences around membership. • ISA (graded membership)-SSI (no structure) • Use of post-nominals, board positions, voting etc • We all want the new merged entity to be a professional & learned organisation • Membership types are a way of achieving this • No one will be excluded-everyone is still a member – IMPORTANT!, membership not static • Articulation between membership types through existing (or modified) certification process

Compromise for unity-Governance structure • A dilution of the current representation & diversity in SSI governance was a deal breaker for the SSI • Proposed governance model of the new entity has a stream-lined board and full representation through a consultative council • Board structure is an improvement on the current SSI and ISA models.

Working Group Activities • Regional model, Regional meetings • Refining the governance model – election process • Flexibility of model is important • Finalise constitution following feedback • Finalise naming competition – branding and marketing advice • Communication and consider feedback • Business and financial model • Draft prospectus
