  3. 1、海运提单（B/L）的含义、性质和作用 一、海洋运输单据 （一）海运提单 B/L是指由船长或船公司或其代理人签发的，证明已收到特定货物，允诺将货物运到特定的目的地并交付给收货人的凭证。 • 货物收据 • 物权凭证 • 运输契约的证明

  4. 2、海运提单的内容 • 提单正面内容： 记载事项——分别由托运人和承运人或其代理人填写。 • 提单背面内容 运输条款——作为确定承运人与托运人之间以及承运人与收货人及提单持有人之间的权利和义务的主要依据。

  5. 3、海运提单的种类 （1）按货物是否已经装船：已装船提单、备运提单 • （2）按提单收货人抬头的不同： • 记名提单—特定收货人，不能背书转让和流通 • 不记名提单—空白或“to the bearer”, 不需背书即可转让 • 指示提单—“to order”或“to order of…”， 经背书后转让 空白背书、记名背书 业务中常用：“空白抬头、空白背书”提单

  6. （3）按提单上对货物外表状况有无不良批注：（3）按提单上对货物外表状况有无不良批注： ——清洁提单、不清洁提单 注意：按照《UCP500》的规定，银行只接受清洁提单 案例思考一：中国广州远洋运输公司于1993年1月与某公司签订了2000公吨重烧美的海上运输合同。广远用“辽阳”和“虎林”轮运载该货，并出具清洁提单。货抵荷兰鹿特丹后，买方发现货物掺有杂质，遂进行清理加工，并向保险公司要求赔偿。保险公司赔偿后，向中国海事仲裁委员会递交了仲裁申请书，要求广远对上述费用进行赔偿。最终裁定：广远承担货物变质所造成的一切损失。试分析：该案例说明什么问题？

  8. （二）不可转让海洋运单 • 概念：是一种不可转让的货运单据，只是货物数据和运输契约的证明，不具有物权凭证的性质。 • 特点：1、是承运人收到由他照管的货物的收据 • 2、可作为运输合同的证明 • 3、是承运人保证据以将货物交付给单证所载明的收货人的不可转让的单据 • 应注意的问题：1、使用的贸易术语 • 2、不能背书及转让 • 3、内容必须符合有关规定

  9. 二、铁路运输单据 • 概念：是铁路承运人收到货后所签发的铁路运输单据，是收、发货人与铁路部门之间的运输契约。 采用正副本方式 • 种类： 1、国际货协运单 2、承运货物收据

  10. 三、航空运单 • 概念：是由承运人或其授权的代理人出具的，是航空运输中的一个重要的货物单据。 • 主要用途：（1）承运合同 （2）接收货物的证明 （3）运费单据 （4）随货同行 （5）报关单证 （6）保险证书 （7）承运人处理内部业务的依据 可用于结汇， 但不是物权凭证

  11. 四、邮包收据 • 概念：是邮局对邮寄商品接管后签发的一种收据，由邮局填制。 • 注意（1）只起到收据和证明双方签订运输的契约的作用 （2）不是一种物权凭证 五、多式联运单据 • 概念：是适应集装箱的需要而产生的，在使用多种运输方式运送货物时使用
