Bylaws – Who, What, Where • Bylaws • A framework that allow you to “govern” your association • Should be used as a Guide for your chapters • Should not contain program specifics • “Cluttered” bylaws can be an example of a lack of Board trust that has developed over time • Note: Standing rules and operating procedures are outside of the bylaws

Bylaws – Who, What, Where • Boards are elected to “govern” the association • Bylaws should be clear on election & board succession issues • Bylaws need to be reviewed on a regular basis • Bylaws sometimes need to be changed to meet the changing times and conditions of the chapter • Don’t be afraid to amend your bylaws if you can make them better • Don’t change your bylaws to suit a particular situation unless it makes your bylaws better and more clear

  5. Bylaws – Who, What, Where Bylaws vs. Roberts Rules • Association Bylaws trump Roberts Rules, even if the languages conflict with RR • RR fills in gaps when specifics aren’t contained in bylaws or other governance documents
