  5. 2.1 Legal issues There are many issues…… for example: Major changes in labour law as of 1st July 2015 Incomplete contracts / no contracts (emails or oral agreements) Letters of intent General terms of conditions Applicable law & Competence of the Czech / Dutch courts Attachment of assets (clarified on the next sheet)

  6. 2.2 Legal issues Attachment of assets: Foreign businessmen and lawyers are surprised by how easily attachment of assets is granted in the Netherlands Anyone who submits a claim with the court, can simply receive a pre-judgment (the same day) to seize assets of the other party The other party does not have to be informed prior to this legal action Suddenly the other party is confronted with disruption of the running of its business or the personal life

  7. 2.3 Legal issues Different types of pre-judgment attachments exist Pre-judgment attachment where the attachment secures a monetary claim is the most common It is possible to attach debtor’s assets, such as vehicles, goods, real estate, plot of land, bank accounts et cetera Attachment of bank account: This is called a third-party attachment How to end the attachment on the assets? 1) provide bank guarantee or 2) terminate a pre-judgment (legal proceedings)

  8. 3. Recommendations Draft a proper contract / general terms and conditions Avoid any obligations in letter of intent Get in touch quickly with your bank if a bank guarantee must be provided Call the Czech Embassy for help
