  11. Board Responsibilities (General) Seven Responsibilities of a Board Member 1. Attendance. To attend board meetings and participate in some committee work. 2. Mission. To define the mission and participate periodically in strategic planning to review purposes, programs, priorities, funding needs, and targets of achievement. 3. Chief Executive. To approve the selection, compensation, and if necessary, dismal of the chief executive and assure regular evaluation of the executive’s performance. 4. Finances. To assure financial responsibility by: Approving the annual budget and overseeing adherence to it Ensure that financial practices are in place eliminate fraud Controlling the investment policies and management of capital or reserve funds www.sedc.org

  12. Board Responsibilities, cont. 5. Program oversight and support. To oversee and evaluate all programs, support the staff, and be an advocate in the community. 6. Fundraising. To contribute personally and annually and participate in identification, cultivation, and solicitation of prospective supporters. 7. Board effectiveness. To assure the board fulfills the foregoing governance responsibilities and maintains effective organization, procedures, and recruitment. Board Responsibilities (Specific) SEDC State Director Major Responsibilities This is a two year elected position. • Represents his/her respective state at all regular and called meetings of the Board of Directors. • Is responsible for the respective state's membership. • Acts as State Membership Chair • Is the voting member of the state delegation. • Coordinates with SEDC membership committee in the solicitation of new members and in the retention of existing members. • Arranges for the state caucus at the annual conference, and arranges for the election of a new Director and Alternate Director at end of his/her terms. www.sedc.org

Board Responsibilities (Specific) Attendance requirement at board meetings Article IV, Section 4 of our bylaws state that any director and/or alternate director may be removed from office, at the discretion of the Executive Committee, if he/she does not attend 50 percent of meetings in a calendar year. Any director or alternate director that is removed from office for lack of attendance must wait two years to be considered for any future elected office.

  15. Board Responsibilities (Specific) 5. Corresponds with the respective state's SEDC members to inform them of Council activities and to obtain suggestions and ideas for use by SEDC Board of Directors. 6. Assists staff in tracing delinquent members and transfers. Coordinates efforts between SEDC and respective state association. 8. Endorses a conference site bid from a site in his/her own state. 9. Encourages State Association Executive to attend SEDC meetings. www.sedc.org

  16. Board Responsibilities (Specific) SEDC Alternate Director - Major Responsibilities This is a one year position. The alternate Director can run for two consecutive one year terms. 1. Is elected by the state caucus members at each annual conference. 2. Serves in the absence of the State Director.  Attends all meetings but votes only when substituting for an elected Director. 3. Assists State Director in recruiting new members. 4. Prepares quarterly reports of new and expanded jobs for Board and SEDC NEWS. • Supports and supplements all efforts of the State Director. www.sedc.org
