  1. 英文单证 项目教学三 课题:Contract and Confirmation 学习目标: 1.Structure of Contract and Confirmation 2. Learn to fill in contract correctly 学习内容: 1. Difference between “Contract” and “Confirmation” 1) Contract is in details while confirmation is simplified; 2) Contract is written by the third person and confirmation is by the first person. 3) Contract is suitable for big transactions or for business done with new customers, while a confirmation is for a small transaction or business done with old customers.

  2. 2. Content of contract: 1) Head of the contract: names of both sellers and buyers, address, time and place of signing the contract, contract number and the purpose of signing the contract etc. ; 2) Body of the contract: a. Specified terms and conditions/changeable terms and conditions: name of commodity, quantity, specifications, packing, unit price, discount, total amount , time of shipment/delivery, shipping marks,port of shipment and destination, payment, insurance etc. b. General terms and conditions/unchangeable terms and conditions: Claims, inspection, force majeure, arbitration, special conditions etc. 3) Signature: Names of both parties and signed signature of the person in charge.

  3. How to make out a contract Body of the contract 1. Name of commodity: specified name of commodity, don’t use the general term , its brand, article number, type, specification, content, origin if any; 2. Specifications : usually the terms of quality Different goods have different specifications. Usually we should mark the size, colors, content, grades, performance of the goods . 3. Quantity Numbers (个数单位), Linear Measure 长度单位, Weight Measure 重量单位, Square/cubic measure 面积/体积单位 and Others 其它 4. Unit Price: The correct quotation to foreign customers is : A) USD30 Per Pc FOB Hongkong B)RMB120 Per M/T CIF New York C) GBP50 Per Doz. CFR England D) CAD1500 Per Set FOB Qingdao

Insurance: To be covered/effected by the sellers on the goods for 110% of the invoice value with the People’s Insurance Company of China against All Risks and War Risks at agreed premium rate. 8. Shipment terms: 交货条款一般包括装运时间、装运港、目的港、分批装运、转运等内容 9. Terms of Payment: The Buyers should open with(开证行) …Bank, an irrevocable, confirmed letter of credit payable by draft at sight(付款期限),in favor of (受益人)the Seller, for(金额)the contracted amount. The L/C should reach the Seller not later than (L/C抵达日期) ……and remain valid (失效日期及地点)in China till the 10th day after the date of shipment.

  6. 操作示范 At the Guangzhou Fair on April 20, 2006, the Hainan Native Produce Imp. & Exp. Co. closed a deal in Wuyi Peanuts FAQ 2005 crop with the Anderson Trading Company Demark under the Contract No. AS102-99. The Hainan Native Produce Imp. & Exp. Co. sold 100 m/ts of the goods in question at the price of US$500 per m/t, CIF Arbus. Shipment will be made during July 2006. Insurance is to be effected for 100% of the invoice value plus 10% against All Risks. The goods are to be packed in gunny bags of 50 kgs each. As to payment terms, both the seller and the buye r agree on a sight irrevocable letter of credit to reach the seller 30 days before the time of shipment and to remain valid for negotiation in China until the 15th day after the date of shipment. 任务:根据上述内容填制合同

Seller : 填入卖方的名称和地址。 2. buyer 填入买房的名称和地址。 3. 编号NO.: 填入合同号码。 4. 日期DATE: 填入签约日期。 5. 地点SIGNED IN: 填入签约地点。 6. 品名及规格Commodity & Specification:填入商品的具体名称和详细规格。 7. 数量Quantity: 填入大小包装件数或实际销售的数量。 8. 单价及价格条款Unit Price & Trade Terms:填入价格术语,货币种类, 单价及计价单位。 9. 金额Amount :填入小写总额。 10. 总值Total Value :填入大写金额。 11.包装Packing :填写包装情况,如散装,则填写in bulk. 12. 唛头Shipping Marks : 填入双方约定的唛头或按谈判结果填写。 13. 装运期及运输方式Time of Shipment & means of Transportation : 填入装运日期及运输方式。 14. 装运港及目的地Port of Loading & Destination :填写装运港名称及目的 地名称,如有转运还需注明。 15. 保险Insurance :填写双方达成的保险条款。 16. 付款方式Terms of Payment :填写双方达成的付款方式。 17. 备注Remarks : 如有其它需说明的事项可在这一栏填写。 18. The buyer The seller :买卖双方签署并盖章。
