  9. FASB Accounting Standards Codification The Codification is the single source of authoritative nongovernmental U.S. GAAP. The Codification is effective for periods ending after September 15, 2009. All previous level (a)-(d) US GAAP standards issued by a standard setter are superseded. Level (a)-(d) US GAAP refers to the previous accounting hierarchy. All other accounting literature not included in the Codification will be considered nonauthoritative.

  36. Report of the Independent Certified Public Accountant To the Board of Directors and Shareholders of Miller Motor Co. We have audited the accompanying balance sheet of Miller Motor Co. as of Dec. 31, 2009 and 2008, and the related statements of income, retained earnings and cash flows for the three years ended Dec. 31, 2009. These statements are the responsibility of the Company’s management. Our responsibility is to express an opinion on these financial statements based on our audits. We conducted our audits in accordance with auditing standards of the Public Company Accounting Oversight Board. Those standards require that we plan and perform the audit to obtain reasonable assurance about whether the financial statements are free of material misstatement. An audit includes examining, on a test basis, evidence supporting the amounts and disclosures in the financial statements. An audit also includes assessing the accounting principles used and significant estimates made by management, as well as evaluating the overall financial statement presentation. We believe that our audits provide a reasonable basis for our opinion. In our opinion, the financial statements referred to above present fairly, in all material respects, the financial position of Miller Motor Co. as of Dec. 31, 2009 and 2008, and the results of its operations and cash flows for the year then ended in conformity with accounting principles generally accepted in the United Stated. standards of reporting
