  2. Orientation Outcome Provide an overview of CPRS’ governance and the tools and resources available to board members.

The Board’s Job • Connect with owners to confirm their values & preferences • Translate those values into policies • Focus on the profession’s future • Delegate expectations to the Executive Director • Board & ED provide integrated focus to different aspects of the same system • Monitor to make sure expectations are met • Sets annual goals • Evaluates its own performance

  5. CPRS BOD Principles • Trust in trusteeship • Board speaks with one voice • Board decisions are policy decisions • Board policy starts broad and narrows until board is comfortable • Board defines and delegates (not reacts and ratifies)

  6. BOD Principles (cont) • Board’s pivotal duty is determining CPRS’ outcomes (called “Ends”) • Board controls through limits • Board designs its own products & processes • Board link with management is empowering & safe • CEO performance is monitored only against written policies
