  2. What is a board? The board of directors is the governing body responsible for the ultimate direction of the chapter.

  4. Teamwork “The way a team plays as a whole determines its success. You may have the greatest bunch of individual stars in the world, but if they don’t play together, the club won’t be worth a dime.” - Babe Ruth

  5. Teamwork Every chapter leader is responsible for the success or failure of a chapter. Therefore, Teamwork is a must!

  6. Characteristics of Effective Teamwork Clear Purpose Informality Participation Listening Civilized disagreement Consensus decisions Open communication • Clear roles and work assignments • Shared leadership • External Relations • Style diversity • Self-assessment

  7. Problems typically experienced by team members Teams try to do too much too soon. Conflicts over differences in work styles (and/or personality conflicts). Too much emphasis on results, not enough on team processes and group dynamics. Unanticipated obstacle causes team to give up. Resistance to doing things differently. Lack of trust.

Legal/Financial Responsibilities Financials Tax Status – 501(c)6 Each Chapter is under our IRS Tax ID Your Chapter Financials are reported to the IRS Form 990 Legal Your chapter and board members are covered under our liability insurance however board members have a responsibility to the chapter and the entire society (SCTE) as a whole.

Fiduciary Items of Interest for all Board Members Use funds to accomplish SCTE mission Make sure there is Supporting & Accurate Documentation Investments Credit Card transactions Expense reimbursements • No advances or loans • No debt financing • Charitable Contributions • Raffle tickets and other games of chance • Cash handling • Chapter Assets

  12. President/Vice-President Roles & Responsibilities Ensures Chapter Bylaw & Compliance Oversee Officers & Committee Chairs Goal Setting (Strategic Planning)

  13. Secretary Roles & Responsibilities Maintain Chapter Records and Documents Bylaws, Board Meeting Minutes, Meeting Reports, Strategic Plan Chapter Membership and Participants List Vendor Contact List Chapter Board Contact List

Treasurer Roles & Responsibilities Accurate and complete financial records Supporting documentation Reasonable and approved expenditures Transactions that adhere to exempt purpose No personal benefit to anyone Submit Quarterly Reports to SCTE Submit monthly or quarterly reports to Chapter Board Members

  17. Board Meetings Board must meet a minimum of 4 times a year Record board attendance to document absences – may be removed according to bylaws Need a quorum to vote – note in minutes Treasurer’s report presented and reviewed at each board meeting.

  18. Running Effective Meetings Focus on decision-making Hold meetings at suitable site and time Give proper advanced notice Focus on the mission Let board members learn from each other Have a good time!

  19. Technical Training Delegate responsibility of obtaining speakers Attendance Rosters Have a list of current SCTE Members SCTE Video or Certification Presentation Certificates of Attendance, if requested Available on CORe Meeting Report and attendance roster

  20. Compliance Requirements What happens if a chapter is non-compliant with their bylaw? Conditional Status is a status to identify and help chapters that are having a hard time meeting the compliance requirements. The goal is to have the entire society operating at peak performance.
