REPRESENTATIVE ASSEMBLY • When may, an RA be authorized in terms of number of members and spread of membership? - Leave it to the coop to decide if is needed. • On election of representatives, should it be by sector, chapter of district? – Leave it to the coop to decide which best suit to their needs:

  3. REPRESENTATIVE ASSEMBLY • Sectoral representation is where the GA is divided into sectors, i.e. farmers, fisher folks, professionals, vendors, office employees, etc and each elect representatives in a mini assembly. • By district, where the area of membership is so dispersed that the members in each district elect their respective representatives, by area in a mini-assembly.

REPRESENTATIVE ASSEMBLY • On number to compose RA, should it be • Based on percentage of members in the area • Pro rated: 50 members: 1 representative • Powers which may be delegated: Art. 33 enumerates the exclusive powers which cannot be delegated. - The group did not have time to discuss which powers can be delegated to the RA.

Art. 86 - ORDER OF DISTRIBUTION • On the reserve fund which shall be at least 10% of net surplus - CDA shall monitor the utilization of the Reserve Fund so that it will not be used to pay for losses due to defalcation of staff & officers. • Education and Training Fund which shall not be more than 10% of net surplus. 50% of which shall be spent by the coop for educ. & training purposes; & the other half (50%) may be remitted to union or federation of which it is a member.

  6. Art. 86 – ORDER OF DISTRIBUTION - That a certification of CETF remittance to the union or federation be required by CDA as a requirement to the issuance of the Certificate of Good Standing.

  7. ELECTRIC COOPERATIVES • Art. 126 – ECs registered with CDA shall be given the priority to operate existing power generation plants utilizing renewable energy sources, such as water, wind, solar and other hybrid systems. • Art. 127 & 128 – Prior to the conduct of the referendum, ECs must purge/sanitize their members’ list to determine actual number of members in good standing.

  8. ELECTRIC COOPERATIVES • On the conduct of the referendum: • ECs shall engage the services of accredited cooperatives (by CDA) in the conduct of Information & Education campaign, including consumers groups and not just the ECs. • That to ensure transparent, honest and fair referendum, representatives from the electric consumers must be involved in the conduct of the referendum.

  9. ELECTRIC COOPERATIVES • Art. 129 & 133 – ECs must include, as part of share capital of the members, their contribution to the repayment of the loan to NEA prior to the condonation, the reinvestment fund, the meter deposit and patronage credit of previous years, where applicable.
