  1. THE FUNCTION OF REGISTRAR OF COMPANY IN INDIA ROC, also known as Registrar of Companies, is responsible for incorporating companies and LLPs, examining and approving their prospectus and Memorandum of Association and Agreement, respectively. Its office is established under the Ministry of Corporate Affairs and under section 396 of the Companies Act 2013, and ROC filing fees for company in Delhi, Mumbai, or pan India is very nominal. Presently, ROC has offices in all significant Union Territories and States; however, some states like Maharashtra and Tamil Naidu have more than one ROC, and some ROC has more than two jurisdictions; for example, Chennai ROC has jurisdiction over Andaman & Nicobar Islands and Tamil Naidu. ROC maintains registry records The Registrar of Companies is also responsible for maintaining registry records of companies and LLPs. This includes documents like memorandum of association, articles of association, particulars of registered office, list of directors/key managerial personnel, shareholding patterns, returns, annual accounts, etc. ROC also plays a pivotal role in corporate governance. Function of ROC There are several functions of ROC; the list is as follows: 1. To approve the incorporation of new companies and LLPs. 2. ROC can file a petition for the closure of the company. 3. To approve the change in the name of existing companies. 4. To approve the alteration in the memorandum of association and articles of association of companies. 5. To maintain the registry of companies and LLPs. 6. To monitor compliance with the Companies Act by the companies and LLPs. 7. To conduct inspections of the companies and LLPs. 8. To initiate action for the prosecution of the companies and LLPs for violation of the provisions of the Companies Act 2013. 9. To provide various e-services to the companies and LLPs.
