  2. A director may resign from his office by giving a notice in writing to the company. DUTIES OF THE BOARD OF DIRECTORS: The Board shall place the resignation letter* in the meeting and pass a resolution for the same and record it in the form of minutes. The company will file DIR-12 with Registrar of Companies within 30 days from the date of resignation. The company is also required to mention about the resignation in the Board Report of the Company. *Resignation will take effect from the date on which the notice is received by the company or the date if any specified by the Director in the notice whichever is later. DUTY OF THE RESIGNING DIRECTOR: The director shall forward a copy of his resignation letter along with the reasons for resigning in Form DIR-11 with the Registrar of Companies within 30 days of resignation.
