  2. WECC Meetings Are Public • WECC meetings are by default open and public meetings • Confidential information should not be discussed • Chair should remind participants and ensure appropriateness of discussions • Promotes openness and transparency

  3. Board Policy on Closed Sessions • The Board can approve Closed Sessions for a WECC group • A justification or explanation of need is submitted to Board for approval • If approved, the group’s charter is revised. • All group members must sign an NDA • The process for Closed Sessions in the policy must be followed

Board Policy on Closed Sessions • WECC groups can also hold UNDA Sessions • Only to UNDA Covered Data can be discussed and only representatives of UNDA signatories can attend • A justification or explanation of need is submitted to WECC General Counsel for approval • No need to revise charter or sign NDA

  5. Standing Committee Decisions • WECC Bylaws Section 8.6.6 • All recommendations and decisions must be noticed and posted for 30 day review and comment period • No impromptu recommendations or decisions • Once properly noticed, if proposal changes (including at meeting) • Additional 10 day notice, review and comment period • Followed by 10 day vote/re-vote period • Can run concurrent

Standing Committee Voting • WECC Bylaws Section 8.6.5 • Approval requires majority vote of both TPs and TCs (S&P votes recorded) • Voting Procedures • More detailed process for voting, including 10 day repost option • Email Voting Procedure • Only for special circumstances • Roberts Rules of Order

  7. Other WECC Groups • Notice and posting of meetings and approval items is determined by charter • Voting is done in accordance with charter and Robert’s Rules of Order • Voting on approval items, decisions, actions, etc., should only be done in meetings, not by email • Unless otherwise permitted in charter

Charters • Very important that Chair is familiar with the charter because it determines • What the group should (not) be doing • Who can be a member • How leadership is selected • How meetings are conducted (quorum requirements) • Developed using charter template • New charters and revisions reviewed by Legal • Approved by parent group
