Private Initiative “Operation, Maintenance, Reinstatement, Upgrading of SEDAPAL Wastewater Treatment Plants” • Submission of Private Initiative • Review of Minimum Requirements • Admission to Procedure • Direct award to bidder • If no interested third party • Evaluation Bidder’s Advantages • Matching best proposal • Expenses reimbursement • Statement of Interest • If there is one or more interested third parties • Selection Process (6 months) • Publication (Jun 09, 2011) • 90 days (Sep 07, 2011) for third parties interested in the project

Private Initiative “Operation, Maintenance, Reinstatement, Upgrading of SEDAPAL Wastewater Treatment Plants” • Requirements to participate as interested third party: • Letter of Expression of Interest • Bank Warranty Bond for US$ 70 thousand • Submission deadline • September 07, 2011 If no company appears, the project shall be awarded to the private company that submitted the Private Initiative. If one or more interested parties appear, a close tender process starts only with those that expressed their interest and the holder of the Private Initiative (approx. 6-month procedure).

Private Initiative “Operation, Maintenance, Reinstatement, Upgrading of SEDAPAL Wastewater Treatment Plants” • Shortlisting Requirements: • a) General: • Past execution of at least one concession project or public-private partnership for the development of infrastructure and/or public utilities rendering. • b)Operation: • Experience over the last 15 years shall be accredited in operating: • Wastewater Treatment Plant(s), totaling a treatment capacity above 2.0 m3/s. • At least two plants must accredit biological type, with treatment capacity above 0.50 m3/s each one, in operation during 3 years as a minimum.

Private Initiative “Operation, Maintenance, Reinstatement, Upgrading of SEDAPAL Wastewater Treatment Plants” • Shortlisting Requirements: • c) Construction: • Experience over the last 15 years shall be accredited in the construction of: • Wastewater treatment Plant(s), totaling a treatment capacity above 2.0 m3/s (Certificate of Reception of Work or similar). • At least two plants must accredit biological and/or chemical type, with treatment capacity above 0.50 m3/s. • d) Financial: • Minimum net equity of US$ 20 Million. • e) Legal: • Commitment to incorporate a Concessionaire Association in Peru, which corporate purpose is in line with the Contract, with a minimum capital contribution of S/. 9,600,000.

Private Initiative “Operation, Maintenance, Reinstatement, Upgrading of SEDAPAL Wastewater Treatment Plants” • Description: • Operation, maintenance, reinstatement and upgrading of sixteen (16) existing wastewater treatment plants, managed by SEDAPAL, with the purpose of improving the quality of the effluent and/or increasing the treatment plants’ capacity, in compliance with the current legislation. • General Requirements: • Total Capacity of the sixteen (16) existing wastewater treatment plants = 4.1 m3/s. • To perform the treatment of affluents and achieve the quality of effluent, in compliance with the current legislation.

Private Initiative “Operation, Maintenance, Reinstatement, Upgrading of SEDAPAL Wastewater Treatment Plants” The PTARs are located in the Region of Lima, Province of Lima and Constitutional Province of Callao, and in the districts of Ate Vitarte, Lurín, San Juan de Miraflores, Lurigancho, San Martín de Porres, Santiago de Surco, Ventanilla, Pachacamac, Santa Rosa, Villa El Salvador and Pucusana.

  8. Private Initiative “Operation, Maintenance, Reinstatement, Upgrading of SEDAPAL Wastewater Treatment Plants Referential Investment: S/.114.3 Millones (VAT incl.) Modality: Concession - BOT Concession Term: 20 years Competition Factor: The project shall be awarded to the party offering the Lowest Present Value of the payments related to investments costs and operation and maintenance costs of the wastewater treatment plants.

  9. Private Initiative “Operation, Maintenance, Reinstatement, Upgrading of SEDAPAL Wastewater Treatment Plants • Benefits: • This does not imply any expenses for the State. Investment shall be fully financed by the concessionaire. The State shall pay for it in 18 years through the charges collected by SEDAPAL. • Decontamination of the surrounding areas and green zones of Lima districts included in this project. • Reduction of the population mortality rate originated by wastewater. • Contribution to the economic, commercial and industrial development of the surrounding zones.
