Product Re-Selling Terms and Conditions From thedesk ofPeter Nolan The compensation that will be paid to a customer for re-selling a product to a colleague who is a registered prospect is set at 50% of the current list price.  This means my customers can recover the full cost of their product purchase by having two colleagues purchase the same product. This is a very reasonable offer!! The initial set of terms and conditions are as follows: • 25/01/2003 – Today I am pleased to announce the terms and conditions for Product Reselling of the Instant Data Warehouse. • The Instant Data Warehouse has been out for just over a week. A number of people are performing evaluations and already some of those people have asked me about the possibility of selling the Instant Data Warehouse to colleagues.  • Having spent many years in marketing I am very aware that people are much more likely to buy a product from someone they know, trust, who owns the product and uses it on a regular basis. • Certainly people are far more likely to buy a sophisticated software product like the Instant Data Warehouse based on the recommendation of a colleague who uses it, as compared with reading my web site.    • I have given this some thought over the last few days and today I am pleased to announce my 'first cut' terms and conditions on re-selling the Instant Data Warehouse and the C Data Warehouse Generator.   • These terms and conditions are effective immediately. They are also subject to change without notice as the terms and conditions evolve. Changes to terms and conditions for reselling will appear as 'news' items on my news page. • Today, I am announcing compensation for customers who go out of their way to convince a colleague to purchase my products. PressRelease 1. I am making both the C Data Warehouse Generator and the Instant Data Warehouse eligible for resale. 2. Customers of the products will be the only eligible resellers. To become an eligible reseller you/your company must be a licensed user of the product and be on a current  maintenance contract.  3. Customers can only re-sell the product that they are licensed for. For example, if you are licensed only for the Instant Data Warehouse, you are not eligible to be paid compensation for re-selling the C Data Warehouse Generator. As more products are released each customer will continue to only be eligible to re-sell products they own. This restriction is in place so that customers will only be re-selling products that they have experience with. 4. Prior to re-selling any products you must register as a reseller by sending me an email requesting to be registered as a re-seller……

In the event that two customers are re-selling the software to the same 'prospect' the compensation goes to the customer who sent in the registration email first. 8. There are a number of ways in which you can re-sell the product: 1. You can buy it from me and re-sell it to your colleague so that the financial transaction for the sale is between your company and myself, and the financial transaction for the re-sale is between you and your colleague. 2. You can also re-sell the maintenance, for which you will have to provide first line support for your colleague in terms of answering the typical 'getting started' questions as well as routing support questions back to us. 3. If your company is not willing/able to re-sell software you can request your customer purchase the product directly from me. I will then forward a check in the name of your company for 50% of the purchase price. If you agree to provide first line support the check will include 50% of the maintenance fee. Note, you must still register your colleague as a 'prospect' prior to your colleague placing his/her order to be eligible to be paid compensation. • 5. The registration of a 'prospect' is effective for 3 calendar months. This means that if your 'prospect' does not purchase the product within three calendar months you must re-register the prospect at the end of the three months.  If the prospect does not purchase the product within 6 months you will not be able to re-register the prospect.  If someone does not buy an inexpensive ETL product within 6 months they probably do not want the product. This condition is included to discourage anyone from registering a large number of colleagues who may not have any interest in buying any of my products. So, please, I prefer you to register colleagues where you have spoken with them and they have a qualified need/interest for my products. • 6. When you want to re-sell the software to a colleague you must register the 'prospect' with me via an email.  You will need to send the prospects, name, company, email, phone number and fax number.  This is to make sure that no two customers are re-selling the products to the same company. I will not contact any person registered to me as a prospect unless I already know that person. PressRelease

Should you purchase the product from me at 50% of list you are free to offer the product to your colleague at any price you wish. If you choose to offer the product at a price higher than the list price you must offer your colleague the option of purchasing the product from me at list.  Your colleague can then make his/her own choice as to who he/she wants to purchase the product from.  This condition is to discourage anyone from registering a prospect and then trying to charge more than list price for the product.
