AboutEmCorp • EmCorp is a recently founded Property Developer Company, privately held, with the purpose to meet the demand for hospitality at the borders of Brazilian roads, in partnership with ,the largest Hotel Group in the World, with more than 7,200 properties: • In Brazil, EmCorp will develop the following brands: • SUPER 8 (Economic for Interstate roads) • MICROTEL (Economic for cities with more than 100,000 inhabitants) • WINGATE (Upper end midscale surrounding International airports) • Some goals through Interstate roads: • 100 hotels (Super 8) until 2016; • 200 new properties (Super 8), or, 14,000 rooms, until 2021;

Business Model - The Basic • Investment and Private Equity Funds as strategic partners for SPE (Special Purpose Entity): • Every new Hotel at Interstate roads will have 70 rooms. • 30% of the cost for each new project will be invested by Funds, with an expected Internal Rate of Return of 30% a year. Funds will invest in 21 Keys with priority of sales, through the Syndication Ownership model. • Grand-opening of a new hotel 18 months from the initial investment. • Payback after 12 months from the original investment, through the sales of 21 keys in retail market. • 20 new hotels a year, 420 rooms (Fund ownership) and annual Potential Sales Value (PSV) of U$ 23.2MM (Fund revenue).

  4. General information: Estimated cost per key: U$ 42,500 - Including the Land. Estimated required investment by Fund, per property (21 Keys): U$ 892,500. Estimated Fund’s PSV per property (21 Keys), 12 months.: U$ 1,160,250. Development Process: • Permutation, exchanging 10% of the rooms to the land owner; • 30% of the rooms will be invested by Funds. • 30% of the rooms will be sold to local investors, including the greater area of the targeted city. (SELL STRATEGY: Roadshows presenting the Business Plan at the local Chamber of Commerce for business owners and individual investors); • 30% will be owned by EmCorp, as a Portfolio.

  5. General information: Estimated cost per key: U$ 47,500 - Not including the Land. Number of rooms will vary from site to site. Timeframe for development and operation will be 24 months. Timeframe for sales will be 12 months. Development Process: • Permutation, exchanging 10% of the rooms to the land owner; • 30% of the rooms will be invested by Funds. • 30% of the rooms will be sold to local investors, including the greater area of the targeted city. Fabio has an extensive background on the financial market, with focus on Private and Corporate Banking consulting and investment services. Prior to joining Emcorp, he has worked at Safra, HSBC, Goldman Sachs and BIC Banco. • Danilo Fonseca, Director of Development (Shareholder, Associate, BRIZ) • 39 years old, Business administrator, Specialized in Business Brokerage, Mergers and Acquisitions, with a background in Franchising. Is responsible for prospect and negotiate the opportunities for plant a new hotel. • ManoelMoraes, Senior (Shareholder, Associate, M+M Architects) • 45 years old, Architect, Specialized in residential and commercial projects, with more than 700 projects in the North and Northeast of the country. Is responsible for coordinate three architects, and several supporters at the Architectural Team. • Antonio Terra, Senior Legal Advisor (Shareholder, Associate, TCSB Lawyers) • 39 years old, Lawyer, Specialized in societary laws, was responsible for several IPO preparation processes. At EmCorp, is responsible for the contract management.
