AVARX WWW.AVARX.COM • AvaRx is a searchable, real time database of licensing opportunities for business development professionals in the pharmaceutical industry. • The name is a shortened version of “Available Pharma products” and is pronounced “Ah-Va-Rex”. • The system is very easy to use – similar to searching for real estate online (therapeutic areas instead of neighborhoods, Phase of development instead of number of bedrooms). • AvaRx launched in January 2014 and the initial version offered access to over 1,700 business development opportunities in the pharmaceutical industry. • AvaRx is maintained by a 20-person company called Torreya Insights. This company was spun off of Torreya Partners, an investment banking firm, in 2012. An AvaRx search screen

  3. HOW AVARX WORKS • AvaRx is offered to past recipients of Available Pharmaceutical Products and others on a free basis. There is a tremendous amount of high quality information available from the site at no cost. • Recipients can also obtain further information about business development opportunities listed on a subscription basis: • Access to proprietary listings • Access to non-confidential opportunity presentations • Access to contact details of counterparties for specific opportunities • Access to messaging with other subscribers • Users can also add their own listings of licensing opportunities. • It is free to include a single listing. • Subscribers can add multiple listings and see analytics on who is reviewing their listings. • The Torreya Insights research staff is continually adding new opportunities to AvaRx and updating the opportunities that are already there.

BENEFITS OF AVARX • Simple to use AvaRx – anyone can figure it out • AvaRx is open to any party that wants to search or list an opportunity at no cost • AvaRx is continually being curated and subjected to quality controls • Staff of highly educated expert adding and reviewing information • Access to a leading advisor, Torreya Partners, enhances timelineness and quality of information • The information is of substantially higher quality than other information services that have pharmaceutical business development opportunities: • The information is fresh • The opportunities are actionable • The listings have information that is relevant such as territories that are available • Most other services have too many stale non-actionable opportunities • Other services charge subscription fees that are often difficult to justify in light of the information available

STEP 1: GETTING AN ACCOUNT • If you don’t have an account yet • Go to torreya.avarx.net • Click on “Join / Sign Up” • Fill in your email and password. • Your account will be created and you will be logged in automatically • From here you can begin the process of searching available opportunities • Or, you can set up your profile by clicking on “Account Settings” in your account.

GETTING AN ACCOUNT CONTINUED • If you have already been assigned an account username and password then: • Go to www.avarx.net • Login using the box to the left of the search box • You will get a screen like that at right. • Click on “My AvaRx” • Fill in your information. Key items include name, company, email, phone number and password • Save the information • From here you can begin the process of searching available opportunities

STEP 2: MANAGING YOUR STATUS • As a beta user you have full access to AvaRx including: • Access to all listings including proprietary listings and contact details • Access to all non-confidential documents • This is the access that will be accorded to a Premium Subscriber. • Starting Feb 15, 2014 all beta users will be converted to Registered Subscriber. • A registered subscriber gets access to all listings except proprietary listings, documents and contact details. • In other words, AvaRx is still quite useful for opportunity search and identification as a Registered Subscriber. • If you choose, you can upgrade your status to become a Premium Subscriber • There are two types of Premium Subscribers: • Premium Searchers – parties that are on the buyside and are looking to buy pharmaceutical products • Premium Listers – parties that are on the sellside and looking to sell pharmaceutical products. • Some parties will want to register to be both.

  9. Premium searcher benefits • Proprietary listings – There are over 300 proprietary listings only available to subscribers. These typically involve less well known BD opportunities or those that are late stage / commercial. • More information – AvaRx premium members can obtain additional information on product opportunities including access to non-confidential presentations and other documents. There are over 2,000 documents available. • AvaRx Premium members get access to contact details of a party posting a licensing opportunity. • Opportunity tracking – premium members can track opportunities and get updates. • Messaging – premium subscribers can use the messaging system to set up meetings to talk about opportunities with counterparties through AvaRx. 9

Premium lister benefits • Unlike searchers which represent the buyside, listers are on the sellside and seek to find buyers for their business development opportunity • There is no charge to become a lister and list one asset • However, there are important benefits to becoming a premium lister: • Can list more than a single asset • Can list undisclosed assets (use of managed confidentiality) • Can access buyside preferences and contacts through Licensing Dynamics • Can access analytics on who is viewing your listings • Can send and receive messages from registered searchers 10

  13. Finding Business Development Opportunities with AvaRx

SEARCH FIELDS • You can search by a number of fields: • Therapeutic area (e.g., urology, endocrinology) • Indication (e.g., Alzheimer’s disease) • Development Phase (e.g., Phase I) • Situation (e.g., Licensing Opportunity, Generic drug) • Territories Available (e.g., Worldwide, China) • Molecule Type (e.g., antibody) • Route of Administration (e.g., Intravenous) • You can also carry out free text searches – which allow you to search by drug name, company name etc. • The intention is to allow you to form very specific queries such as show me all the Phase 1 urology products that have rights available for Japan.

The search for autoimmune programs turned up 158 opportunities taking 16 pages. Will need to parse these further most likely. The top autoimmune indications are shown. Can see others by clicking “more”.

You can refine a search by narrowing or expanding terms. Quick description You can track developments for a specific opportunity. This is also a good way to bookmark. You can refine a search by narrowing or expanding terms such as indication. Clicking “more” expands the list of “Therapeutic Areas”. The list has the search item in descending order of their frequency. Opens up a detailed profile of the opportunity. The “pen” icon opens a detailed search page that allows the creation of complex compound searches.

  19. HISTORY • Torreya Partners is a boutique investment bank focused on the pharma sector founded in 2007. Since being founded Torreya has become a leading player in life sciences transaction advisory with over 100 assignments successfully completed. • As a means of marketing its services, Torreya distributed a document to its customers and prospective customers for five years called “Available Pharma Products”. This is a text listing (not unlike newspaper classified ads) of pharmaceutical products available for outlicensing or M&A. • The first edition of this product was issued in 2008 and was read by less than 100 persons and had less than 500 listings. • The most recent edition of this product, issued in May 2012 was read by over 5,000 persons and had over 1,800 listings. This edition ran for over 160 pages. • Torreya customers have been asking for more frequent access to this listing, the ability to search the listings and the ability to get more information on the listings. • To meet the customer need, Torreya Partners created a new company called Torreya Insights whose main mission is to create data products and provide supporting research services.

Business development professionals want to be able to segment the listing of available pharma products and drill down to the opportunities that are relevant to them. We have had dozens of requests like this in recent years. Many users have offered to pay for a service that would let them sort and drill down further into opportunities.

THE NEXT STEP: CREATION OF AVARX • The Available Pharma Product listing is now available online (www.avarx.com) and is called AvaRx (pronounced “Ah-va-rex”). • The new version offers additional detail, not unlike the Craigslist adaptation of the classified ads. • Our mission is to provide a searchable, real time database of licensing opportunities for business development professionals in the pharmaceutical industry. • This database will continue to be offered to existing recipients of Available Pharmaceutical Products and others on a free basis. The same amount of information will continue to be available. • In addition, recipients can obtain much more information about licensing opportunities listed on a subscription basis. The additional information will non-confidential opportunity presentations and contact details of counterparties.
