Governance • Number of the Holding Company’s members of board of directors increased to eleven, four of which are independent, one executive and six representative participants • Board of Directors for each of the affiliated companies consists of seven members as follows: • CEO of the mother company as chairman • Two members from the affiliated company • Two members from the Company Board of Directors • Two independent members from outside the company • A system was devised for and by the board of directors of the Holding company based on which all authorities were delegated to the affiliate company’s board of directors to enable it to follow up the company’s performance and development except for the new investments that must be approved by the Holding company board of directors

8. Industrial and Commercial Activities of the Company

9. Rajhi Steel Co. The Company consists of three factories with total annual capacity of 1.935 tons as follows: Commercial Steel Factories (founded 1984) with production capacity of 6.000 tons in the first year. In 2008 the number reached 180.000 tons. Rebar Factories (founded in 1997) with production capacity of 120.000 tons. In 2008 the number reached 750.000 tons. Steel Billets Factory in Jeddah (founded 2007) producing 1 million tons in 2008.

10. Rajhi Steel Production • Rebar Steel: steel bars from 8, 10, 12, 14, 16, 18, 20, 25, 8, 32 and 40 mm conforming to international standard specifications ASTM 615/GR 60. Annual capacity of the factory is 750.000 tons . • Commercial Steel: tubes, pipes, cold and hot steel sheets and galvanized, corrugated sheets, galvanized pipes and galvanized steel sheets. Annual production capacity is 140,000 tons as follows: • Coils. • Rounded Pipes: • cold rolled pipes ranging from 12mm to 2.5 in and thicknesses from 0.5 to 3.0 mm. • hot rolled pipes ranging from 12mm to 6.0 in and thicknesses from 1.2 to 5.0 mm. • Sheets • G.I Sheets from 0.35mm to 4.0 mm. • Cold rolled sheets from 0.35 to 3.0mm. • Hot rolled sheets from 1.0 mm to 12 mm. • Electrically galvanized sheets from 0.5mm to 3.0mm. • Ordinary corrugated sheets 0.35mm to 0.70mm thick in all colors. • G.I pipes from ½ in to 6 in (light, medium and 40-Sch.) • Squared sheets: 1.60mm to 10.0mm. • Rectangular Pipes: • Cold rolled steel 10x25 to 40x80, 0.6 to 3.0 mm thick. • Hot rolled steel 10x25 to 100x200, 0.6 to 5.0 mm thick. • Squared Pipes: • Cold rolled steel 12x12 to 40x80, 0.6 to 3.0 mm thick. • Hot rolled steel 12x12 to 150x150, 0.6 to 5.0 mm thick. • Steel Billets. Squared steel billets 100x100mm to 150x150mm. Annual capacity: 1m tons per year.

National Gypsum Company • Al-Watani Gypsum Group Ltd. • A limited liability company founded in 2009 and consists of: • Yamama Gypsum Group: • The factory and deposit are located in Riyadh in 2004. Capacity : 250 tons of powder and ceramic adhesive • National Gypsum Factory • The factory was established in Yanbu in 2008 with capacity of 600 tons per day of gypsum powder, beta gypsum, medical health products gypsum, dental gypsum, beta gypsum and hard plaster gypsum for external uses as it enjoys high resistance to water, humidity, heat and climatic conditions of KSA. Special specifications gypsum shall also be produced based on market demand

12. Fayha Water Company Fayha was established in 1993 and has three factories in Riyadh, Qaseem and Abha. Total production of the company in 2008 was 500 million liter of water. 5 gallons collectable Polycarbonate bottles and 4 gallons HDPE uncollectible bottles. PET bottles : 330ml, 500 ml, 600ml, 1.51 ml and 250 ml cups.

13. Al-Jazirah Home Appliances A limited liability company established in 2009. Established the first factory in KSA and the middle east in 1973 then it expanded its business to include five factories in Riyadh and one factory in Sudan in 2003 25 showrooms and a distribution network inside and outside the kingdom, Gulf countries and Arab countries Produces a variety of 10 home appliances with registered trademarks like al-Jazirah – AL-Ghadeer- Crony 70 models of different sizes of evaporative coolers, window and split type air conditioners, showcase refrigerators for supermarkets and stores, water coolers, cookers and aspen pads 175.000 unit produced in 2008

Al-Jazirah Home Appliances Production Air coolers in all types and sizes from small normal coolers to huge central air coolers Freon ACs in all types from wall mounted window type ACs to Split ACs Water coolers of all types and sizes from 75 LPH to large 2000 LPH water coolers, in addition to bottled water coolers All kinds and sizes of vertical and horizontal refrigerators in addition to deep freezers Home cookers in different sizes, types and specifications Water heaters in different sizes A variety of spare parts for all these products

15. Modern Co. for Water Heaters • A limited liability company established in 2009 and consists of: • The first factory for water heaters in the kingdom and the Middle East established in 1968. The company then expanded to three factories in Jeddah and Dammam • Distribution network inside the kingdom and in the Gulf and Arab courtiers • The company produces a variety of home appliances in six main products and 32 models: water heaters, water coolers, evaporative coolers, fire extinguishers, scaffolds and pushcarts • Items produced in 2008: 600.000 items

16. Falcon Company for Plastic Industries • Established in 2009 as a limited liability company and consists of: • Falcon Factory for Industries (established 1987) and Al-Jazierah Factory for Plastic Industries (established 1988). • The Company produces 19 different products; knitted plastic: shade nets, packing straps, PP knitted bags, special purpose knitted bags (Leno, Rachel, HDPE for packing…etc), PVC hoses, shipping marine boxes, paint buckets, machine decals (mainly for the sister concern Al-Jazeerah Equipment), plastic pencils, plastic food containers, adhesive tapes, paper core thin PE films, special paints and adhesives • The Company has it sown distribution network inside the Kingdom and in Gulf and Arab countries • Production in 2008: 2800 tons. • Falcon production of plastic: 1800 tons, Tape Section Production: 52 million squared meters in 2008
