  9. Mutual of America is a Tax Deferred Annuity plan no longer used by the organization, but still considered active requiring annual filing. We have had attempted for many years to terminate the plan, but have not been able to do so until now. • NOW, THEREFORE, BE IT RESOLVED THAT: • The Plan be terminated as soon as administratively feasible; • Officer(s) and/or agent(s) of the Employer as directed by the Employer are hereby authorized and directed to take such further actions, and to execute such documents and instruments as they, in their sole judgment, deem necessary or desirable to effectuate the intent of the foregoing resolutions, and to file with the appropriate federal agencies such notifications and ruling requests, if any, as are customary or desirable under the circumstances.   10. Name Change: Our current legal name (Social Settlement Association DBA Kids Can Community Center) is causing donor and public confusion, and it's time to officially retire "Social Settlement". The board can vote today on a resolution to change the legal name to “Kids Can Community Center”. Two documents for the resolution and amendment to the bylaws were sent to the board on June 18 2014. • The Document Review Task Force met and are preparing changes to the following documents for approval in August 2014: • By Laws • Whistleblower • Conflict of Interest • Document Retention • Business Continuity • Crisis • CEO Transition • Other policies that may be incorporated in the future include • gift and investment.   11. The South Omaha Community Care Council (SOCCC) approached Kids Can to be a fiscal sponsor for their organization. Robert currently sits on the board of SOCCC. The board received a draft of the agreement for review and potential voting today. Robert has been working with Stephanie Mattoon to ensure a legally sound agreement. The central issue is that Kids Can must maintain discretion and control over the use of the funds in order for contributions to the project to be tax-deductible. There is very limited liability as it will occur “in-house”, but another possibility would to create a wholly-owned subsidiary LLC (which is a disregarded entity for federal tax purposes) to operate the project.
