  2. Key ProvisionsMaster Licensing Agreement • FieldManager product suite defined as FieldManager, FieldPad, FieldBuilder, and FieldBook owned jointly by ITI and Michigan • FieldNet owned solely by ITI also included in agreement • SitePad and SiteNet not part of license agreement • Shared Product

Key Provisions – continued Master Licensing Agreement • AASHTO granted a perpetual license with “walking-away” rights for the entire FieldManager suite, plus FieldNet and all derivative works • Divides market/licensing/administration of the FieldManager/FieldNet products: • AASHTO can license to members and Affiliate members, administers licenses, and collects associated revenue • ITI licenses all “other entities”, including Associate members of AASHTO • ITI agrees not to license to AASHTO members or affiliates for duration of agreement and for 5 years after termination.

  4. Key Provisions – continued Master Licensing Agreement • AASHTO agrees to reinvest 85% of revenue toward support, maintenance and enhancement of the FieldMgr/FieldNet products through the annual MSE. • AASHTO receives 10% on all licenses made by ITI to other entities. Increases to 12.5% after the first $2.5 million in revenue, and to 15% after $5 million. • AASHTO, ITI and Michigan must agree on any re-naming of the products, re-naming will not affect ownership rights

FY2007 Work Plan • FieldManger • Adding custom reporting ability to FieldManager • Bentley Inspector Tool Interface • Option to sort items on IDRs and Contract Modifications • Adding proposal line number to view and print estimate reports • Adding attachment indicator to IDR and Daily Diary reports and lists • Possible $: Add sort option to inquiries containing items • FieldNet • Adding a column to Estimate Tracking and Submit Voucher web screen • Allow for a search of IDs by FieldNet description
