  1. RCCO CEO and Board Selection Process Proposal February 22, 2013

Overview • Select an Interim Board Committee (IBC) consisting of current or former WECC board members who are qualified and willing to serve as RCCO Board members, • Have the IBC members participate with the CEO search committee to screen and recommend a CEO candidate to the WECC Board, • Then use the methodology outlined in the RCCO governance white paper/bylaws to nominate the remaining RCCO board members

Selection of the Interim Board Committee • WECC staff issues a request for nominations (completed) • Nominations would be limited to current or former WECC Board members meeting the qualification and affiliation requirements for RCCO independent board members, as well as having an interest in serving on the RCCO Board.. • Nominations would be solicited from WECC member representatives, the current WECC Board, and former WECC Board members. • Self-nominations would be accepted • Nominations would be due February 28.. • Contingent on Board approval of this process on Feb 22, nominations would be provided to the Search Consultant (Russell Reynolds and Assoc.) who will screen the nominations as would be done for permanent board members. • An IBC charter is included with the February board approval package.

Selection of the Interim Board Committee… continued • WECC Board would meet in closed session during the March Board meeting to review the nominations and select the IBC • IBC members would be compensated per current WECC NAD protocols • The IBC members will become members of the full RCCO board • Current WECC Board members who are selected to serve on the IBC may continue to serve on the WECC board.

Selection of the RCCO CEO • The existing CEO search committee will continue to work with RRA as required to move the CEO selection process moving forward. • The IBC members would join with the previously appointed CEO search committee immediately upon selection • RRA would continue to work with the expanded CEO search committee • The expanded CEO search committee will determine which candidate(s) to introduce to the board at the June meeting • The current WECC board would meet the recommended candidate(s) and select the RCCO CEO at the June meeting.

  6. Selection of the remaining RCCO board members • Immediately following RCCO bylaw approval, begin populating the RCCO with members. • After the membership is sufficiently populated, conduct MAC elections within each class • After populating the MAC, 3 MAC members will be selected to work with the IBC as the nominating committee for the remaining board seats • RRA would work with this nominating committee to identify and screen candidates • The nominating committee will provide two names for each remaining seat to the WECC board per the RCCO whitepaper/bylaws • The WECC board will determine the final slate for vote by the RCCO members • RCCO members will vote on the remaining board candidates per the whitepaper/bylaws • Staggered terms would be randomly assigned to the 7 RCCO board members.
