  2. INTRODUCTION City of Samarinda is the capital of East Kalimantan province, located along side Mahakam River. The population of Samarinda is approximately 567.997 persons. Since 1997, container cargo has been handled in Port Samarinda, and now is the second biggest container handling port in Eastern Part of Indonesia, after Port of Makassar. Container traffic in Samarinda in 2006 reaches 137.000 Teu’s with 51 calls of container ships per month. The average growth of container traffic is 20% per year.

PALARAN CT OPERATION PT. PI IV COOPERATION SCHEME AND CONDITION PRIORITY IN EMPLOYING SAMARINDA PORT’S PERSONNELS CONDITION A. INVESTOR EXEMPTS LAND OF 13,635 Ha (12,135 Ha FOR CT AND 1,5 Ha FOR PASSENGER TERMINAL). B. INVESTOR ESTABLISHES SPC. C. SPC BUILDS, PROVIDES ALL FACILITY, AND OPERATES THE CONTAINER TERMINAL. • COOPERATION LASTS FOR 50 YEARS USING BOT SYSTEM, AND AT THE END OF COOPERATION, INFRASTRUCTURE TO BE TRANSFERRED TO PT. PELINDO IV. • PT. PELINDO IV CLOSES THE OLD TERMINAL TO CONTAINER HANDLING ACTIVITY. E. GOVERNMENT / PT. PELINDO IV CONDUCTS SHIPPING CHANNEL MAINTENANCE (MINIMUM – 5 M LWS). F. PT. PELINDO IV CONDUCTS SHIP SERVICES E.G. PILOTAGE. G. THE MINIMUM TARIFF FOR CONTAINER SERVICES (20’) IS DETERMINED Rp. 500.000/BOX. • PT. PELINDO IV RECEIVES 10% MANAGEMENT FEE OF GROSS REVENUE FOR 30 TAHUN. • PT. PELINDO IV AND SAMARINDA GOVERNMENT RECEIVES THE SAME AMOUNT OF PROFIT SHARING FROM SPC : 53% FOR THE FIRST 30 YEARS AND 55% FOR THE NEXT 20 YEARS.

THE AVAILABILITY OF PORT FACILITY TO SUPPORT ECONOMIC DEVELOPMENT OF SAMARINDA CITY IN PARTICULAR, AND EAST KALIMANTAN IN GENERAL ( Anticipating the Mahkota II Bridge). • TO SUPPORT SAMARINDA PORT TO BECOME ONE OF CONSOLIDATION AND DISTRIBUTION CENTRES IN EAST KALIMANTAN ( Samarinda Port Master Plan ) • THE AVAILABILITY OF CONTAINER TERMINAL WITH MODERN EQUIPMENT ( Fulfilling Community Needs in line with Change of Pattern Evolution). • AS SOLUTIONS TO : 1) THE LIMITED FUND IN DEVELOPING PORT FACILITY; 2) THE NARROW BACK UP AREA AT EXISTING LOCATION; 3) THE SYNCHRONIZATION BETWEEN CITY AND REGION PLAN; 4) THE INTEGRATION BETWEEN PORT AND INDUSTRIAL AREAS. • RESPONSIBILITY OF PT PELINDO IV TO THE GOVERNMENT (DEPARTMENT OF TRANSPORTATION) RELATED TO THE APPOINTMENT AS PORT OPERATOR. COOPERATION BENEFIT

COOPERATION AGREEMENT ON THE DEVELOPMENT AND OPERATION OF PALARAN CONTAINER TERMINAL HAS BEEN SIGNED BETWEEN THE GOVERNMENT OF SAMARINDA CITY, PT PELINDO IV AND PT PELABUHAN SAMUDERA PALARAN (SPC) ON JULY 20, 2007 IN JAKARTA; • SAMARINDA MEETING HELD ON AUGUST 6, 2007 CONCLUDED THAT LAND PROCUREMENT SHOULD BE FOLLOWED BY SUBMITTING PROPOSAL AND REQUEST FOR LAND PROCUREMENT BY PT PELINDO AS THE ENTITLED PARTY; • EACH PARTY HAS CONDUCTED FOLLOWING THINGS : 1. SAMARINDA CITY GOVERNMENT: - ALLOCATING Rp 5 BILLIONS IN 2007 REGIONAL BUDGET (APBD) FOR TERMINAL ROAD OPENING - ACCOMPLISHING ENVIRONMENTAL ANALYSIS STUDIES; - ESTABLISHING LAND PROCUREMENT COMMITTEE (P2T); - DEFINING LOCATION THROUGH DECISION LETTER OF SAMARINDA MAYOR 2. PT. PELINDO IV - PREPARING LAND PROCUREMENT PROPOSAL; - PREPARING AND SUBMITTING REQUEST LETTER RELATED TO LAND PROCUREMENT 3. PT. PELABUHAN SAMUDERA PALARAN (SPC) : - CONDUCTING CONSULTANT AND CONTRACTOR SELECTION; - ESTABLISHING PROJECT ORGANIZATION; - PROVIDING FUND FOR LAND EXEMPTION • MONTHLY MEETING WILL BE HELD TO MONITOR THE PROGRESS ACHIEVED BY EACH PARTY; • PHYSICAL CONSTRUCTION IS PLANNED TO START IN THE BEGINNING OF 2008 AND LASTS FOR 22 MONTHS. CURRENT PROGRESS
