Process Working Agenda and Timeline Summer • Send communication to all alumni notifying them of trustee vacancies • Agree on selection criteria and timeline • Recommend number of nominated candidates per vacancy Fall • Continue reviewing and prioritizing trustee nominees • Conduct references and further narrow candidate pool • Begin informally sounding out potential candidates • Refine and reprioritize after initial engagement and additional referencing • Invite finalists and send written list of questions • Conduct full Search Committee interviews on each finalist • Select nominees and present to Alumni Council for approval Winter/Spring • Alumni Council leadership roles (President, President-elect, ALC, NomCom) • Alumni Council at-large appointments • Affirm Alumni Council class, club and affiliated group appointments and other mandated positions (undergraduate, graduate program and DED reps) • Other boards, including Hanover Inn and Dartmouth Alumni Magazine Editorial Board

Process Guiding Principles – Trustee Nominating Process • Dartmouth needs to attract the strongest possible candidates • Enormous complexity of the institution • Increasingly global nature of the College and issues facing it • Highly competitive environment for best talent and resources • Significant challenges presented by economic environment • NomCom’s objective is to conduct a process that is: • Broad-based, open and inclusive • Thorough and rigorous • Respectful and discrete • Independent

Process Communications and Outreach - 2011 • Since the Board of Trustees notified the Alumni Council that there would be two vacancies, trustee nominations have been solicited from alumni across multiple venues over a five-month period: • In June, an email was sent to all alumni • In June, a postcard was sent to all alumni • In July, an announcement was posted on the Dartmouth website • In July, a Twitter announcement was sent • In August, a letter was posted on the Nominating Committee webpage • In September, an email was sent to alumni councilors and all class, club and affiliated group officers • Throughout the fall, postcards have been distributed at alumni events

ProcessSearch Criteria • Accomplishment and success in chosen field • Rigorous, critical thinking skills • Effective communication and influencing skills • Understanding of board dynamics, governance experience and ability to work together in a collaborative environment • Accretive skill set and ability to bring additional perspectives to the existing board • Broad appeal, credibility and willingness to run • Demonstrated energy and passion for Dartmouth

ProcessThe Committee’s Work • During the last election year (2009-2010), the NomCom met 14 times (6x in-person, 8x conference calls). • Since the beginning of this election cycle (2010-2011), the NomCom has already met 13 times (5 days of in-person meetings in New York, Boston and Hanover and 8 teleconferences). • More than 500 alumni have been considered since 2007. • All 250 alumni nominations that were received during the last two election cycles were reviewed and discussed by the committee.

Process Timing and Logistics – Where We Are Today • In September, the Alumni Council voted 85-3 to nominate one person for each of the trustee vacancies in the 2011 election. • Nominations were accepted through 11/02/10. • Following the deadline, 10-15 of the highest priority prospects were targeted. • 7 were invited to interview in NYC in 8-on-1 sessions for 75 minutes, after submitting written answers to questions prepared by the committee. • 2 nominees were selected from that process, to be presented today. • If the Alumni Council approves the nominations, a formal notification postcard will be sent to all alumni. • The petition filing deadline is two months from the mailing of the notification. 500 alumni signatures are required to run by petition. • There will be a four-week voting period in March-April.
